Executing Agency (Client): City of Sisak, Croatia Assignment Description: The European Bank for Reconstruction and Development (the “EBRD” or the “Bank”) is providing a loan of up to EUR 4.5 million to the public transport company “Auto promet d.o.o. Sisak (“Auto promet”, “AP” or the “Company”) in the City of Sisak (“Sisak” or the “City”) to finance the modernisation of the City’s bus fleet (the “Project”). The Company currently operates 34 buses. The average age of the AP bus fleet is 13 years, with a range from 6 to 25 years, compared to the optimal industry standard of 3-4 years. Such a fleet condition is unsustainable, especially with regards to the pollution, noise and lack of reliability created by the current fleet, with a negative impact on both the environment and living conditions in and around the City. The proceeds of the loan will be used for the modernisation of the bus fleet through the purchase of up to 17 new diesel Euro VI standard complaint buses, introduction of a fleet management system and modernisation of the maintenance depot. Through the implementation of the Project, the Company will: improve the current condition of its outdated fleet, with average fleet age of 13 years, including the improvement of the operating expenses, mainly connected to the decrease of average fuel consumption and significant decrease of bus maintenance expenses, improve its environmental performance through the reduction of GHG emissions and reduction of noise levels, which is especially important in the urban areas, and improve the safety standards especially important for the transportation of schoolchildren. In order to accommodate the new buses under the framework of the transport system for Sisak, the City intends to retain a consultant (“the Consultant”) to provide assistance in developing a Sustainable Urban Mobility Plan (the “Plan” or “SUMP”) that can assist the City to manage mobility to be compatible with environmental requirements (the “Assignment” or “Services”). This Assignment will support the City to ensure best practice urban transport planning and to identify opportunities for divestiture of commercial activities with potential for private sector participation. The overall objective of the Assignment is to create a sustainable urban transport system for the City by addressing, at a minimum, the following specific activities: To prepare a Plan for the transport urban sector in Sisak, which will determine future priority investments in the sector; To ensure the accessibility offered by the transport system is available to all, such that urban public facilities including public transport can provide services on an inclusive basis; To improve safety and security in all modes of transport and reducing the number of accidents; To reduce air and noise pollution, greenhouse gas (“GHG”) emissions and energy consumption; To improve the efficiency and cost-effectiveness of the transportation of persons, including defined sources of underlying funding and financing for such activities. This is understood to include both AP and private transport providers; To elaborate a general and specific set of indicators, regarding the mobility, socio-economic and urban development of the City, which will be monitored in evaluating the effectiveness of the Plan associated to the established objectives; To develop non-motorized modes and intermodal transport networks; and Propose recommendations on Private Sector Participation (“PSP”) opportunities in the provision of urban transport services in Sisak. A successful outcome of the Assignment would be a Plan for Sisak setting the context for phased investments programming for the period 2016-2030 agreed with municipal and national authorities. Status of Selection Process: Interested firms or group of firms are hereby invited to submit expressions of interest. Assignment Start Date and Duration: The Assignment is expected to start in May 2015 and has an estimated overall duration of 9 months. Budget Estimate for the Assignment: EUR 170,000 (exclusive of VAT). The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed. Funding Source: EBRD Shareholder Special Fund Eligibility: There are no eligibility restrictions. Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms with: (1) project experience in planning of public transport networks, including sustainable urban mobility planning, as well as with traffic and parking management; (2) relevant project experience in European Union/Western Balkans, in urban development projects. It is expected that the Consultant’s team of key experts will at least consist of: Team Leader/Transport Planner, with preferably ten years of relevant project experience in Europe in urban development projects Urban Planner/architect, with preferably five years of relevant project experience in urban planning at local and metropolitan level; Public Transport Operations Specialist, with preferably five years of relevant project experience in a public transport company and/or consultancy in the public transport field; Traffic Engineer with preferably five years of relevant project experience in traffic engineering, traffic management and control; Transport modelling Expert with preferably ten years of relevant project experience in operating four-step traffic model software in an urban environment; Parking Policy Specialist with preferably five years of relevant project experience in managing parking policy in cities and/or with a consultancy firm; Transport Economist, with preferably five years of relevant project experience in Europe. Financial Expert, with preferably ten years of relevant project experience in urban transport. Legal Expert specialised in Public Transport with preferably ten years of relevant project experience as a lawyer, including preferably five years in public/private partnership in the public transport field in Europe; Marketing Expert with preferably five years of relevant project experience in publicity, marketing and communication in the transport area and in Europe; Environmental Expert with preferably five years of relevant project experience in environmental assessment preferably in Europe, in particular referring to Strategic Environmental Assessment, assessment of the effects of certain plans and programmes on the environment (Directive 2001/42/EC) and Environmental Impact Assessment (Directive 85/337/CEE); Urban Transport Young Professionals (2) - The UTYPs are intended to be hired by the Consultant, and incorporated fully into the production of the SUMP. The UTYPs should be Croatian nationals and recent graduates with at least a 4 year university degree in engineering, planning, or other equivalent technical field related to the transport sector. Recent is to be understood as having graduated from university within the last 3 years. The objective is for deep knowledge transfer to occur between experienced professional consultants and the UTYPs, with the objective of passing at the end of the SUMP preparation project over to the beneficiary municipality for a period of 2 years as municipal staff. Submission Requirements: In order to determine the capability and experience of Consultants seeking to be selected, the information submitted should include the following: (a) brief overview of the firm/group of firms including company profile, organisation and staffing; (b) details of similar experience of firm or group of firms and related assignments undertaken in the previous five years, including information on contract value, contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, percentage carried out by consultant in case of association of firms or subcontracting, main activities, objectives; (c) CVs of key experts who could carry out the Assignment detailing qualifications, experience in similar assignments, particularly assignments undertaken in the previous five years, including information on contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, main activities, objectives. This Invitation for Tenders follows the General Procurement Notice for this project which was published on the EBRD website, Procurement Notices (www.ebrd.com) on 16th April 2014.

Auto Promet Sisak d.o.o. hereinafter referred to as “the Purchaser”, intends to use part of the proceeds of a loan from the European Bank for Reconstruction and Development (the Bank) towards the cost of the Sisak Urban Transport project.

The Purchaser now invites sealed tenders from Suppliers for the following contract to be funded from part of the proceeds of the loan:

  • 2 low entry city buses Class I equipped with Euro 6 engine and 8 Intercity buses Class II equipped with Euro 6 engine, including training and diagnostic tools; optional 4 low entry city buses Class I equipped with Euro 6 engine and 5 Intercity buses equipped with Euro 6 engine.

Tendering for contracts that are to be financed with the proceeds of a loan from the Bank is open to firms from any country.

To be qualified for the award of a contract, tenderers must satisfy the following minimum criteria:

  •  Average annual Revenue as prime Supplier (defined as billing for Goods and Services delivered and under delivery) over the last 3 years of EURO 5 million equivalent;
  • The Tenderer shall demonstrate that it has access to, or has available, liquid assets, unencumbered real assets, lines of credit, and other financial means sufficient to meet the production cash flow for the contract estimated as not less than EURO 1.5 million equivalent, taking into account the Tenderer's commitments for other contracts; and
  • Experience as Supplier, in at least 3 contracts within the last 5 years, each with a value of at least EURO 1.6 million that have been successfully and substantially completed and that are similar to the proposed Goods (e.g. the contracts shall entail the delivery of  city buses Class I or Inter city buses Class II, both category of buses being equipped with minimum EURO5 or EEV type engine).

AUTO PROMET D.O.O. SISAK intends using the proceeds of a loan from the European Bank for Reconstruction and Development [the Bank] for a project to renew the bus fleet, fleet management system and the maintenance depot. The proposed project, which has a total estimated cost of EUR 5.6 million equivalent, will require the procurement of the following goods, works and services:

Promet d.o.o. Split intends using the proceeds of a loan from the European Bank for Reconstruction and Development [the Bank] for a project to renew the bus fleet, fleet management system and the maintenance depot. The proposed project, which has a total estimated cost of EUR 10 million equivalent, will require the procurement of the following goods, works and services:
 
  • purchase of the 28 new low-floor buses and
  • purchase of an Automated Fare Collection (AFC) system and fleet management system.
 
Tendering for the above contracts is expected to begin in the second quarter of 2015.
 
Contracts to be financed with the proceeds of a loan from the Bank will be subject to the Bank's Procurement Policies and Rules and will be open to firms from any country. The proceeds of the Bank's loan will not be used for the purpose of any payment to persons or entities, of for any import of goods, if such payment or import is prohibited by a decision of the United Nations Security Council taken under Chapter VII of the Charter of the United Nations or under a law of official regulation of the Purchaser's country.

Sisak Urban Transport - Project Implementation Support and Financial and Operational Performance Improvement Programme The Deadline for the submission of Expressions of Interest for this assignment has been updated. Background: The European Bank for Reconstruction and Development (EBRD or the Bank) has been requested by the City of Sisak (the City, Client or Sisak) to provide loan financing of up to EUR 4.5 million to the public transport company Auto promet d.o.o. Sisak (AP) founded by the City to finance the modernisation of the bus fleet (the Project). The transaction will be backed by a Public Service Contract (PSC) and supported with a Municipal Support Agreement (MSA) between the Bank and the City. The Bank’s financing will be used to modernise part of the Company’s bus fleet, introduction of a fleet management system and modernisation of the maintenance depot. The Company currently operates 34 buses. The average age of the AP bus fleet is 13 years, with a range from 6 to 25 years, compared to the optimal industry standard of 3-4 years. Such a fleet condition is unsustainable, especially with regards to the pollution, noise and lack of reliability created by the current fleet, with a negative impact on both the environment and living conditions in and around the City. In some instances, the existing fleet does not meet basic safety requirements. As an example, the existing Road Safety Law specifies conditions for the transportation of school children and currently only four of AP’s buses satisfy these requirements. In addition, the fuel consumption of the outdated fleet amounts to roughly 30.6 litres of diesel fuel per 100 km (about twice the normal consumption rate), significantly burdening the operating performance of the Company. The Company also operates a small bus terminal in the centre of Sisak, of which it owns 55 per cent. The remaining ownership of the terminal resides with the other main private bus company Caszmatrans which handles some suburban routes and school transport services. The terminal is slightly loss-making, and under-exploited from the standpoint of auxiliary incomes (e.g. shops, other retail). The planned purchase of 17 new low-floor buses compliant with the EU Directive 2009/33/CE will improve the reliability and quality of public transport services for users, as well as improve air quality through reduced carbon emissions and better fuel efficiency. The investment in 17 new buses will result in a significant reduction of carbon emissions from the urban bus sector. Urban Transport Market / Regulatory Snapshot Market: Urban transport services in the City of Sisak are solely provided by the Company, which also covers a certain proportion of suburban routes and the heavily travelled intercity service to Zagreb. Although many commuters use private cars and rail to travel to Zagreb, due to the parking regulation in Zagreb and unreliable railway services the number of bus passengers is on the increase. The Zagreb - Sisak route is open to competition, mainly from individual bus owners and one private company. Finally, the company transports schoolchildren, a competitively tendered service it shares with one other main private competitor. AP regularly participates in such tenders. Sisak has adopted a social policy for collecting public fares. Passengers categorised as students and pensioners are granted subsidised ticket prices on only urban and suburban lines, whilst the intercity passengers are not entitled to receive discounted travel. Regulatory aspect of public transport: According to the Regulation (EC) 1370/2007 of the European Parliament, public service compensation (subsidies) may be necessary to ensure the provision of services of general economic interest and guarantee safe, efficient, attractive and high quality passenger transport. The competent authority (the City) is obliged to conclude a public service contract with the operator to which it grants an exclusive right and/or compensation in exchange for discharging public service obligations (PSO) under a PSC. As a new EU country, Croatian municipalities are in the process of developing PSCs. The City has requested assistance from the Bank to prepare an EU-compliant PSC. This will be undertaken separately from the current assignment under a PSC Preparation Framework (TCS 39409) Regulatory emissions from heavy duty vehicles: Based on the Regulation (EC) No 595/2009 of the European Parliament, National authorities shall no longer grant Community or national type-approval for vehicles that do not comply with this Regulation as of 31 December 2012. They have also prohibited the registration of new vehicles that do not comply with this Regulation as of 31 December 2013. This Regulation also defines the approval of motor vehicle types, engines and replacement parts with respect to their emissions which must comply with Euro VI standards which determines the GHG emission limits. The proceeds of the EBRD loan will be used as follows: Tranche A - (i) the purchase of up to 10 new diesel Euro VI standard compliant buses for the Borrower, to be used for the urban and suburban routes in the area of the City of Sisak; (ii) introduction of a fleet management system; and (iii) modernisation of the maintenance depot of the Borrower at the location of its headquarters in Sisak Tranche B - the purchase of up to 7 additional new diesel Euro VI standard compliant buses for the Borrower, to be used for the urban and suburban routes in the area of the City of Sisak. Assignment Description: To support implementation of the Project, the Client intends to retain a consultant (the Consultant) to support the work of the Project Implementation Unit (PIU) to ensure it has access to best practice in the implementation of projects and procurement, as well as advice on specific technical issues (the Assignment or Services). The Consultant will provide assistance in procurement of the contracts in compliance with the Bank’s Procurement Policies and Rules (PP&R) provisions, and pursuant to all other agreements stipulated in the Loan Agreement signed between the Company and the Bank. The Consultant shall ensure that the PIU seeks and obtains the Bank’s No Objection for each contract and/or as deemed necessary during the implementation, pursuant PP&R provisions. The Consultant will also assist in the preparation of a Financial and Operational Performance Improvement Programme (FOPIP) with the overall objective to improve the Company’s operational efficiency, environmental, social and financial management in order to strengthen the capacity to service debt while providing high quality urban bus services. The overall objective of the Assignment is to facilitate the timely and effective implementation of the Project by: Advising to the Company and the PIU in the implementation of the Project’s component for the procurement of buses and associated services, contract administration; Assisting the PIU in the finalization of the technical specifications, based on Due Diligence needs assessment, provide draft tender documents including draft contract all provisions related to the ancillary services associated, such as after sales service, spare parts, etc.; Assisting the PIU in conducting the procurement process, in a timely and efficient manner, including the tenders evaluation, the report drafting and contract preparation; Providing timely recommendations and reporting to the PIU in the contract administration process; Assist with the administration of the contract delivery and acceptance phase of the buses and related ancillary services contract and advising the PIU with respect to all aspects which, in the Consultant’s professional judgment, aiming at Project’s successful implementation and prevent any action that might constitute violation of the contract conditions; and If requested, the Consultant will assist the PIU to provide the Bank with data, advice and information in relation to the contracts which shall be impartial and take due regard of the best industry practices. Establishing indicators for measurable improvements (within a clearly defined timetable) in operational efficiency and levels of service (e.g. availability of the fleet; percentage of operational route plan completed; punctuality of service: cleanliness of buses); Developing and implementing a FOPIP focussing on: increasing the revenue collection; developing a tariff formula and tariff policies which balance the desire to maximise revenues with high-levels of ridership; developing the ability within the Company to make ongoing long-term (5 year) corporate development programmes, including capital budgets and tariff projections; Reviewing the potential for private sector participation in the Company’s non-core activities. Status of Selection Process: Interested firms or group of firms are hereby invited to submit expressions of interest. Assignment Start Date and Duration: The Assignment is expected to start in December 2014 and has an estimated overall duration of 18 months. Maximum Budget available for the Assignment: EUR 150,000 (exclusive of VAT). The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed. Funding Source: EBRD Shareholder Special Fund Eligibility: There are no eligibility restrictions Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms with assignment or project experience in i) urban transport, including specific experience in bus fleet management, preferably in the last seven years; and ii) in the financial and administrative management, procurement, design and administration of similar investment projects and activities similar in terms of nature, scope and size. The Consultant’s team is expected to include experts covering at least the following disciplines: Team Leader / Project Manager Technical Experts in buses, fleet management systems and bus depot rehabilitation and related services similar to this project tentatively 100 man days input; Procurement and Contract Specialist tentatively 100 man/day input to be spent in the country; Financial and Operational Specialist(s) Local support staff fluent in Croatian and English. All experts shall have preferably 7 years experience of the activity which they are proposed for in a similar position, and their previous professional experience should include: project management experience gained in consultancy assignments similar in scope, nature and complexity; experience in preparation of full tender documents, knowledge EBRD Supply contractual arrangements and two stage tendering, or equivalent methods; experience in (i) planning and design activities; project management; (iii) engineering; (iv) procurement of goods, and services and contract administration; and (v) financial and operational performance; proven knowledge of procedures and rules of procurement of EBRD, or other MDBs, such as World Bank, ADB; knowledge of requirements of Croatian legislation concerning issues relevant to this procurement would be an advantage; Croatian speaking support staff would be required.
