Project Description:

Vodoopskrba i odvodnja d.o.o., Zagreb (“ViO” or the “Company”) is a water supply and wastewater service company, 100 per cent owned by Zagreb Holding. ViO is the largest water and waste water operator in Croatia which services up to 850,000 inhabitants of Zagreb and several surrounding cities and municipalities. The Company currently provides water supply services using 3,000 km long supply network with the annual water supply of 57.5 million m3, whereby wastewater collection services are provided through 2,000 km of public sewage network and 52,000 drain canals and with annual quantity of wastewater collected of 54.04 million m3. The Company employs more than 1,100 people.

Zagreb Holding (“Zagreb Holding” or “ZGH”) is a holding company fully owned by the City, which through a network of 16 subsidiaries, 7 companies and one institution provides the citizens with the following services (i) water-supply and wastewater collection, (ii) public transport, (iii) parking services, (iv) waste collection, (v) pharmacy chain management, and (vi) management of public sport facilities. Zagreb Holding currently employs around 11,000 workers and is the largest municipal holding in Croatia.

The European Bank for Reconstruction and Development (the “EBRD” or the “Bank”) has recently re-financed its existing loan from Zagreb Holding to the Company such that they can be utilized for capital expenditures into construction and upgrade of the waste-water network in the City.

In order to assist the Company in the re-organization of their financial and operational activities, the Company is seeking the support of a consultant (the “Consultant”) to ensure they are more efficient in areas including business planning, advice on tariff reform and collection improvements. The Consultant will also support the preparation of a Public Service Agreement (“PSA”) between the Company, Zagreb Holding and the City.

Assignment Description:

The overall objective of the assignment is to improve the Company’s operational efficiency and financial and operational management in order to strengthen its capacity to service debt while providing high quality water and sewerage services.

More specifically, the assignment will aim at:

  1. establishing indicators for measurable improvements (within a clearly defined timetable) to improve operational efficiency and levels of service (e.g. reducing unaccounted for water and sewage leakages);
  2. developing and implementing a financial and operational performance improvement programme (“FOPIP”) with the special focus on:
  • increasing the revenue collection rates and reducing accounts receivable;
  • developing a tariff formula and tariff policies which will over time eliminate the cross-subsidy between consumer groups;
  • developing the ability within the Company to make ongoing long-term (5-year) corporate development programmes, including capital budgets and tariff projections;
  1. using the above mentioned indicators together with the FOPIP findings and incorporating them into a PSA between the Company, Zagreb Holding and the City;
  2. reviewing the potential for private sector participation in the Company’s operations.

Status of Selection Process: Interested firms or group of firms are hereby invited to submit expressions of interest.

Assignment Start Date and Duration: The Assignment is expected to start in late April 2016 and has an estimated overall duration of 18 months.

Cost Estimate for the Assignment: EUR 279,400 (exclusive of VAT). The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed.

Funding Source: It is anticipated that the contract will be financed by the EBRD Shareholder Special Fund (“SSF”).

Eligibility: There are no consultant nationality eligibility restrictions.

Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms with preferably previous project experience related to international water and wastewater sector projects, development and implementation of a FOPIP in public sector utilities and in the legal framework necessary for drafting and implementing a Public Service Agreement in Croatia.

The Consultant’s expert team is expected to include key experts as follows:

a. Key Expert No 1 (Project Manager with wastewater utility expertise) with preferably 10 years of previous professional international experience in water and wastewater sector projects procured under financing arrangements with government agencies or international financial institutions.

b. Key Expert No 2 (Local Team Leader ) with preferably 10 years of previous professional experience in water and waste water sector projects procured under financing arrangements with government agencies or international financial institutions and well acquainted with Croatian laws and regulations.

c. Key Expert No 3 (Financial Expert) with preferably 10 years of previous professional experience in financial management of public utilities

d.Key Experts No 4 (Pool of Additional Experts) consisting of Legal expert; Training/Corporate Development experts; Environmental and Social expert.

1. Company/group of firms’ profile, organisation and staffing (max. 2-4 pages).

Sisak Urban Transport - Project Implementation Support and Financial and Operational Performance Improvement Programme The Deadline for the submission of Expressions of Interest for this assignment has been updated. Background: The European Bank for Reconstruction and Development (EBRD or the Bank) has been requested by the City of Sisak (the City, Client or Sisak) to provide loan financing of up to EUR 4.5 million to the public transport company Auto promet d.o.o. Sisak (AP) founded by the City to finance the modernisation of the bus fleet (the Project). The transaction will be backed by a Public Service Contract (PSC) and supported with a Municipal Support Agreement (MSA) between the Bank and the City. The Bank’s financing will be used to modernise part of the Company’s bus fleet, introduction of a fleet management system and modernisation of the maintenance depot. The Company currently operates 34 buses. The average age of the AP bus fleet is 13 years, with a range from 6 to 25 years, compared to the optimal industry standard of 3-4 years. Such a fleet condition is unsustainable, especially with regards to the pollution, noise and lack of reliability created by the current fleet, with a negative impact on both the environment and living conditions in and around the City. In some instances, the existing fleet does not meet basic safety requirements. As an example, the existing Road Safety Law specifies conditions for the transportation of school children and currently only four of AP’s buses satisfy these requirements. In addition, the fuel consumption of the outdated fleet amounts to roughly 30.6 litres of diesel fuel per 100 km (about twice the normal consumption rate), significantly burdening the operating performance of the Company. The Company also operates a small bus terminal in the centre of Sisak, of which it owns 55 per cent. The remaining ownership of the terminal resides with the other main private bus company Caszmatrans which handles some suburban routes and school transport services. The terminal is slightly loss-making, and under-exploited from the standpoint of auxiliary incomes (e.g. shops, other retail). The planned purchase of 17 new low-floor buses compliant with the EU Directive 2009/33/CE will improve the reliability and quality of public transport services for users, as well as improve air quality through reduced carbon emissions and better fuel efficiency. The investment in 17 new buses will result in a significant reduction of carbon emissions from the urban bus sector. Urban Transport Market / Regulatory Snapshot Market: Urban transport services in the City of Sisak are solely provided by the Company, which also covers a certain proportion of suburban routes and the heavily travelled intercity service to Zagreb. Although many commuters use private cars and rail to travel to Zagreb, due to the parking regulation in Zagreb and unreliable railway services the number of bus passengers is on the increase. The Zagreb - Sisak route is open to competition, mainly from individual bus owners and one private company. Finally, the company transports schoolchildren, a competitively tendered service it shares with one other main private competitor. AP regularly participates in such tenders. Sisak has adopted a social policy for collecting public fares. Passengers categorised as students and pensioners are granted subsidised ticket prices on only urban and suburban lines, whilst the intercity passengers are not entitled to receive discounted travel. Regulatory aspect of public transport: According to the Regulation (EC) 1370/2007 of the European Parliament, public service compensation (subsidies) may be necessary to ensure the provision of services of general economic interest and guarantee safe, efficient, attractive and high quality passenger transport. The competent authority (the City) is obliged to conclude a public service contract with the operator to which it grants an exclusive right and/or compensation in exchange for discharging public service obligations (PSO) under a PSC. As a new EU country, Croatian municipalities are in the process of developing PSCs. The City has requested assistance from the Bank to prepare an EU-compliant PSC. This will be undertaken separately from the current assignment under a PSC Preparation Framework (TCS 39409) Regulatory emissions from heavy duty vehicles: Based on the Regulation (EC) No 595/2009 of the European Parliament, National authorities shall no longer grant Community or national type-approval for vehicles that do not comply with this Regulation as of 31 December 2012. They have also prohibited the registration of new vehicles that do not comply with this Regulation as of 31 December 2013. This Regulation also defines the approval of motor vehicle types, engines and replacement parts with respect to their emissions which must comply with Euro VI standards which determines the GHG emission limits. The proceeds of the EBRD loan will be used as follows: Tranche A - (i) the purchase of up to 10 new diesel Euro VI standard compliant buses for the Borrower, to be used for the urban and suburban routes in the area of the City of Sisak; (ii) introduction of a fleet management system; and (iii) modernisation of the maintenance depot of the Borrower at the location of its headquarters in Sisak Tranche B - the purchase of up to 7 additional new diesel Euro VI standard compliant buses for the Borrower, to be used for the urban and suburban routes in the area of the City of Sisak. Assignment Description: To support implementation of the Project, the Client intends to retain a consultant (the Consultant) to support the work of the Project Implementation Unit (PIU) to ensure it has access to best practice in the implementation of projects and procurement, as well as advice on specific technical issues (the Assignment or Services). The Consultant will provide assistance in procurement of the contracts in compliance with the Bank’s Procurement Policies and Rules (PP&R) provisions, and pursuant to all other agreements stipulated in the Loan Agreement signed between the Company and the Bank. The Consultant shall ensure that the PIU seeks and obtains the Bank’s No Objection for each contract and/or as deemed necessary during the implementation, pursuant PP&R provisions. The Consultant will also assist in the preparation of a Financial and Operational Performance Improvement Programme (FOPIP) with the overall objective to improve the Company’s operational efficiency, environmental, social and financial management in order to strengthen the capacity to service debt while providing high quality urban bus services. The overall objective of the Assignment is to facilitate the timely and effective implementation of the Project by: Advising to the Company and the PIU in the implementation of the Project’s component for the procurement of buses and associated services, contract administration; Assisting the PIU in the finalization of the technical specifications, based on Due Diligence needs assessment, provide draft tender documents including draft contract all provisions related to the ancillary services associated, such as after sales service, spare parts, etc.; Assisting the PIU in conducting the procurement process, in a timely and efficient manner, including the tenders evaluation, the report drafting and contract preparation; Providing timely recommendations and reporting to the PIU in the contract administration process; Assist with the administration of the contract delivery and acceptance phase of the buses and related ancillary services contract and advising the PIU with respect to all aspects which, in the Consultant’s professional judgment, aiming at Project’s successful implementation and prevent any action that might constitute violation of the contract conditions; and If requested, the Consultant will assist the PIU to provide the Bank with data, advice and information in relation to the contracts which shall be impartial and take due regard of the best industry practices. C2CF EU Cohesion Funds Water Co-Financing Framework: Support in the Regionalisation Process and Financial and Operational Performance Improvement Programme

Project Description:

The Government of Croatia has developed a policy based on regionalisation as the primary means to achieve compliance with EU water and wastewater directives. Through regionalisation, the Government plans to improve the quality and efficiency of its water and wastewater infrastructure and services in order to fulfill the country’s environmental targets, reaching out to areas outside major cities. Through the creation of larger regional operators, Croatia plans to ensure the long term sustainability of these investments and create a greater EU grant absorption capacity.

Currently there are approximately 125 local water companies in Croatia. It is envisaged that through the regionalisation programme, undertaken during the next 2-3 years, approximately 20-25 Regional Operating Companies (“ROCs”) will be formed through the consolidation of smaller operators into larger ROCs. Typically the regionalisation will occur along county lines and will be lead by the largest water operator (the “Lead Company”) in the region, which will then absorb the smaller companies into its operations.

The current assignment is designed to build on previous EBRD work in the water sector in Croatia (. The focus of the assignment is to assess the potential of regional consolidation in the water supply/wastewater services sector through the preparation of a feasibility study for specific regionalisation programmes where the Bank is co-financing, together with EU funds, the priority water and waste water infrastructure upgrade. In particular, the assignment will include concrete merger plans, covering all legal, financial and operational aspects.

The assignment will at first focus on two regionalisation programmes with different beneficiaries. It is envisaged that following the preparation and implementation of the initial programmes, the assignment may be extended if and when additional programmes are identified and agreed with the Croatian National Authorities.

The risks are high as many of the smaller water operators are currently not managed on a commercial basis and are loss making operations. They are characterised by high levels of non revenue water due to leakages in the network, weak collection systems and insufficient maintenance. If the regionalisation is to work, it is essential that these smaller operations be effectively integrated into the ROCs with their service levels raised.

As a result, EBRD proposes to assist simultaneously two Lead Companies of the future ROCswith the support towards the re-organisation of their financial and operational activities through a Financial and Operational Performance Improvement Programme (“FOPIP”) to ensure they are more efficient. The FOPIP will in particular include business planning, Public service Contract (“PSC”) preparation, advisory on tariff reforms and collection.

The overall objective of this assignment is to (i) evaluate the feasibility of and define concrete implementation models for the regional consolidation of water and wastewater companies in Croatia and (ii) assist the Companies in their transition through performance support to ensure the highest level of operating efficiency.

It is envisaged that the selected consultant (the “Consultant”) will work on two different regionalisation programmes. These programmes will be assigned to the Consultant at the time when the specific sub-projects are signed under the Framework. The Consultant will be assigned and work with the Bank, as well as with its borrowers.

Specific objectives within each of the sub-project assignments aim at:

(a) Specifying the existing business relationship of the assigned Lead Companies with the neighbouring companies in the sector;

(b) Evaluating the current financial and operating performance of the Lead Companies and its neighbouring companies (merger/acquisition targets);

(c) Evaluating the regional consolidation potential and advantages within the water/wastewater services sector and feasibility of the consolidation;

(d) Developing concrete merger/acquisition implementation models of the existing water/wastewater services companies in the County proposing new transparent;

(e) Operational, financial and management capacity building at the proposed ROC level;

(f) Evaluating efficiency improvements, including business planning, investment programming, accounting and cost management, financial long term planning etc.;

(g) Assisting the Lead Companies in the preparation of the Public Service Contract/s within its new regionalised service area; and

(h) Advising on tariff reforms and collection improvements.

Status of Selection Process: Interested firms or groups of firms are hereby invited to submit expressions of interest.

Assignment Start Date and Duration: The Assignment is expected to start in August 2016 and has an estimated overall duration of 2 years.

Cost Estimate for the Assignment: EUR 500,000 (exclusive of VAT). Subject to availability of funding, the performance of the selected Consultant and the specific needs of the Bank, the Assignment may be extended beyond the current scope, to cover up to ten reorganisation programmes.

The Consultant must determine whether any VAT would be chargeable on the services and the basis for that determination, without taking into consideration the special status of the Bank as an IFI and state this to the Bank in their response to the Invitation for Expressions of Interest. To the extent that a Consultant incurs input VAT on goods and services purchased in connection with the provision of services (e.g. VAT on airline ticket) which is not otherwise recoverable by the consultant from the local tax authority, the gross cost to the consultant of such expenses shall be treated as a reimbursable expense.

Funding Source: It is expected that the Assignment will be financed by EBRD Shareholder Special Fund (“SSF”). Please note selection and contracting will be subject to the availability of funding.

Eligibility: There are no eligibility restrictions.

Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms with international experience in water and wastewater sector projects procured under financing arrangements with government agencies or international financial institutions, as well as respectable track record in mergers/acquisitions. The Consultant should be well acquainted with Croatian laws and regulations. The consultant should also have experience in drafting and implementing Public Service Contracts in countries with legal framework comparable to Croatia.

The Consultant should form a team that will be able to advise and work with the Bank on up to 2 different regionalisation programmes in parallel.

The Consultant’s expert team should include key experts as follows:

- Project Manager with preferably 15 years of professional experience in the financial and operational requirements of the regionalisation process and/or merger and/or acquisition process.

- Water and Wastewater Operations Expert with preferably 10 years of professional experience in utility operations in the sector.

- Financial Expert( with preferably 10 years of professional experience in financial management of public utilities and project finance

- Legal Expert with preferably 10 years of professional experience in legal frameworks comparable to Croatia

- Merger/Acquisition Expert with preferably 10 years of professional experience in mergers/acquisitions and proposing revised shareholding structures and corporate governance principles.

Submission Requirements: In order to determine the capability and experience of Consultants seeking to be shortlisted for this Assignment, the information submitted should include the following:

1. Company/group of firms’ profile, organisation and staffing (max. 2-4 pages).

2. Details of previous project experience or similar assignments particularly undertaken in the previous five years, including information on contract value, contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided (if different from duration) , main activities, objectives.

3. CVs of key experts who could carry out the Assignment detailing qualifications, experience in similar assignments, particularly assignments undertaken in the previous five years, including information on contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, main activities, objectives.
