Background: The agribusiness sector has proven to be one of the main pillars of the Ukrainian economy, even when it is in crisis mode. It is the only sector that increased exports (estimated MY 2014/15 7% higher compared to the previous year) and registered growth in 2014, contributing to approximately 16% of the country’s GDP. This growth can continue, but is subject to an improved business environment and increased investment for the further development of the sector. There are immediate needs to scale up international financing, as the crisis in Ukraine has had a profound impact on the availability of finance for the corporate sector. In this context, the European Bank for Reconstruction and Development (the “EBRD”, the “Bank”) is well placed, additional, and able to provide access to financing to corporates facing on-going difficulties. In 2014 the Bank invested €251 million through 14 new projects in the agribusiness sector alone (record year), which was more than 20% of the EBRD’s total investment in Ukraine. In addition, over the past 5 years EBRD financing attracted an estimated additional €100 million from commercial lenders. In 2015, the Bank continued to invest strongly and aims to achieve a business plan with a similar level of investment. The EBRD’s active portfolio in Ukraine’s agribusiness sector amounts to €700 million and includes operations in food production, crop farming and commodity trading. The EBRD, with the support of the Japan - EBRD Technical Co-operation Fund, is dedicating technical cooperation (TC) resources to assist on-going and future EBRD agribusiness operations, and help pave the way for new investments in the country. The pre-investment due diligence costs for the EBRD’s projects are a significant financial burden to companies, particularly to small- and medium-sized enterprises, who cannot afford this additional cost and therefore face a significant barrier in accessing EBRD finance. For larger companies, with more complicated corporate structures, the legal restructuring implies higher additional costs before they can approach the Bank for financing. Meeting these costs became particularly difficult for the private sector in the context of the on-going crisis. To this end, the EBRD intends to appoint up to 4 (four) law firms under framework agreements (the “Framework Agreements”) to carry out legal due diligence on agribusiness projects in Ukraine (“Project Preparation Support for Agribusinesses” Programme) over a three-year period (the “Assignment”). Framework Agreements for the Programme The Bank intends to enter into Framework Agreements with up to 4 consultants (the Framework Consultant or Consultant) to enable the Bank to call upon a shortlist of pre-qualified firms from which it can quickly and efficiently obtain reliable services. The Framework Agreements will establish, in advance, fee rates for experts, contract terms and agreements, and procedures that will govern individual assignments required to implement the Programme. Under these Framework Agreements, the Bank will have the option, but not the obligation, to place individual Assignments with the selected Framework Consultants. Framework Consultants will be selected for individual Assignments in accordance with the EBRD’s Procurement Policies and Rules (PP&R). The Bank may send to the Framework Consultant(s) specific Terms of Reference for the Assignment (Specific ToR). The Specific ToR will include a description of the tasks to be performed, time-schedules and reporting instructions. The Framework Consultant(s) should respond by sending to the Bank a technical and financial proposal for the Assignment together with details of the Expert(s) proposed to carry out the work. The Bank will then evaluate the response(s) and – subject to successful negotiations - issue a call-off notice (Call-Off Notice) for the individual Assignment to the selected Framework Consultant. Description of individual Assignments (Call-offs) In the context of each potential EBRD banking operation, legal due diligence for individual Assignments is expected to include the following: · Review the Letter of Information prepared by the Borrower containing the Borrower’s, the Borrower’s subsidiaries’ and the Guarantor’s (if any) representations regarding all material facts concerning the Project, the organisation, status, operations, affiliations and assets and liabilities of the Borrower, its main subsidiaries (if any) and the Guarantor (if any) and other matters incident to the Project and highlight any issues arising from its content or omissions; · Review the Charter documents of the Borrower and its main subsidiaries, if any (statute and foundation agreement, articles of incorporation or similar instruments), and minutes of meetings of shareholders and directors for the last two years to identify potential issues that would or might affect the judgement of a prospective lender regarding lending to the Borrower and recommend changes to such documents that might be required in mitigation; · Provide detailed legal analysis of the Borrower’s current shareholder structure including through identifying rights and obligations of minority shareholders stipulated in the Charter and shareholders agreement (if any); · Identify and confirm validity of any governmental, creditors’ and other licences, permits, approvals, filings and registrations necessary for the carrying on of the business of the Borrower and its subsidiaries (if any) as it is and is contemplated to be carried on; · To the extent possible, identify the existence of any branches, representative offices and subsidiaries of the Borrower and advise on extent to which investigation as to existence of such branches etc. is conclusive; · Review title and other documents relating to the land acquired by the Borrower and its subsidiaries (if any) and identify any potential issues relating to the use of land including zoning issues; · Review supply agreements between the Borrower and its suppliers; · Review any material contract (i.e. a contract, other than in the ordinary course of business, that relates to the Project or that would or might affect the judgement of a prospective lender regarding lending to the Borrower); · Identify existence of any mortgage, pledge, charge, lien, security interest or arbitration for an amount exceeding USD 100,000 the outcome of which might have a material adverse effect on the Borrower’s business, operations or financial condition or on the Project and advise on the extent to which investigation is conclusive; · Confirm the Borrower’s ownership on any fixed assets, including checking land titles and ownership rights of the property items to be pledged and mortgaged to EBRD; · Identify and review any existing insurance over the Borrower’s assets and liabilities; · Confirm the tax status of the Borrower and, to the extent possible, identify any existing or potential tax liabilities of the Borrower; · Review draft term sheet describing principal terms of the transaction; · Prepare a memorandum covering current regulatory and legal requirements in Ukraine applicable to the Project as well as any potential regulatory risks; · Identify any administrative, regulatory and legal issues relevant to the Project or financing by the Bank (including but not limited to tax and licensing requirements) and prepare a checklist covering any such issues; · Review a detailed term sheet describing the principal terms of the transaction; and · Address such ancillary matters as may be required by the Bank. Status of Selection Process: Interested firms or groups of firms are hereby invited to submit expressions of interest. Programme Start Date and Duration: The Programme is expected to start in February 2016. The selected Framework Consultants will be engaged via Framework Agreements with a validity period of up to 3 years. Cost Estimate for the Programme and Assignments: EUR 1,200,000.00 (exclusive of VAT). The cost estimate for individual Assignments will vary depending on their specific scope, but individual budgets are expected to be up to EUR 75,000.00 (exclusive of VAT). The Consultant must determine whether any VAT would be chargeable on the services and the basis for that determination, without taking into consideration the special status of the Bank as an IFI and state this to the Bank in their response to the Invitation for Expressions of Interest. To the extent that a Consultant incurs input VAT on goods and services purchased in connection with the provision of services (e.g. VAT on airline ticket) which is not otherwise recoverable by the consultant from the local tax authority, the gross cost to the consultant of such expenses shall be treated as a reimbursable expense. Funding Source: This Programme is expected to be funded by the Japan - EBRD Technical Co-operation Fund (JECF). Please note that selection and contracting will be subject to the availability of funding. Eligibility: Firms eligible for this assignment are firms registered in Japan, or firms registered elsewhere that employ Japanese citizen(s) who will perform the relevant tasks under the assignment. 60% of each assignment budget will be utilised on Japanese experts or non-Japanese experts who are employed by a firm registered in Japan. On an exceptional basis, the tied component could be reduced to 40% per assignment. Framework Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms preferably with previous project experience related to: 1. Preparation and negotiation of banking term sheets; 2. Analysis of structural aspects of the proposed banking transactions; 3. Drafting and negotiating legal agreements; 4. Execution and monitoring of security arrangements; 5. Assistance with the resolution of any legal issues related to proposed banking transactions; 6. Review of private sector company’s legal documents, material contracts and permits; Specialisation in international banking practices and in particular English law is required. Project experience in the EBRD’s countries of operations (COOs) will be considered an advantage. The Consultant’s expert team is expected to include key experts as follows: a. Key Expert No 1: Partner, Team Leader, with preferably 5-7 years’ previous professional experience in international banking practices, and in particular English law; b. Key Experts No 2-5: Lawyer, with preferably 2-3 years’ previous professional experience in international banking practices, and in particular English law; c. Key Experts No 6: Ukrainian lawyers with professional experience in the local jurisdiction. The International Organization for Migration (IOM) is an intergovernmental organization established in 1951 and is committed to the principle that humane and orderly migration benefits both migrants and society. In the framework of European Union Border Assistance Mission for Moldova and Ukraine (EUBAM Mission) the IOM Bids Evaluation and Awards Committee (“BEAC”) now invites interested Bidders to submit “Bid” for the supply and delivery of Vehicles. Interested Bidders address questions related to Bidding Documents and / or Technical Specifications to the BEAC by email: procurement@eubam.org no later than 10 (ten) working days prior to the deadline for the submission of bids. Project Preparation Support Programme for Agribusiness Projects in Ukraine - Programme Manager

Background:

The agribusiness sector has proven to be one of the main pillars of the Ukrainian economy, even when it is in crisis mode. It is the only sector that increased exports (MY 2014/15 7% higher compared to the previous year) and registered growth in 2014, contributing to 16% of the country’s GDP. This growth can continue, but is subject to an improved business environment and increased investment for the further development of the sector. There are immediate needs to scale up international financing, as the crisis in Ukraine has had a profound impact on the availability of finance for the corporate sector.

In this context, the European Bank for Reconstruction and Development (the “EBRD”, the “Bank”) is well placed, additional, and able to provide access to financing to corporates facing ongoing difficulties. In 2014 the Bank invested €251 million through 14 new projects in the agribusiness sector alone (record year), which was more than 20% of the EBRD’s total investment in Ukraine. In addition, over the past 5 years EBRD financing attracted an additional €100 million from commercial lenders. In 2015, the Bank continued to invest strongly and aims to achieve a business plan with a similar level of investment. The EBRD’s active portfolio in Ukraine’s agribusiness sector amounts to €700 million and includes operations in food production, crop farming and commodity trading.

The EBRD, with the support of the Japan Technical Cooperation Fund, is dedicating technical cooperation (TC) resources to assist on-going and future EBRD agribusiness operations, and help pave the way for new investments in the country. The pre-investment due diligence costs for the EBRD’s projects are a significant financial burden to companies, particularly to small- and medium-sized enterprises, who cannot afford this additional cost and therefore face a significant barrier in accessing EBRD finance. For larger companies, with more complicated corporate structures, the legal restructuring implies higher additional costs before they can approach the Bank for financing. Meeting these costs became particularly difficult for the private sector in the context of the ongoing crisis.

To this end, the EBRD has appointed environmental consultants, and intends to appoint law firms under framework agreements (the “Framework Agreements”) to provide Project Preparation Support for Agribusiness Projects in Ukraine (the “Programme”) over a three-year period. The Bank now wishes to engage a Programme Manager (the “Programme Manager”, the “Consultant”) to manage the Framework Agreements and coordinate all activities under the Programme (the “Assignment”).

Assignment Description:

The primary responsibility of the Programme Manager will be to manage the Programme’s day-to-day activities, as follows:

• Coordinating the implementation of all Programme activities, including monitoring the work of international consultants hired for each due diligence;
• Administrating each project under the Programme and liaising regularly with each EBRD Operation Leader (OL) of the banking operation;
• Reporting on all outcomes of the Programme;
• Carrying out all planned visibility and communications activities for the Programme;
• Capturing and disseminating all lessons learned and achievements.

The selected Consultant is expected to provide the following services:

Programme execution and monitoring
• Assist the Agribusiness department in identifying and screening potential investment operations;
• Review the background and profile of the prospective clients to determine the suitability for the Bank’s subsequent financing;
• Identify assistance needs/objectives of potential clients for due diligence and defining the initial scope for the proposed project, in close collaboration with the Agribusiness department bankers;
• Manage due diligence project flow through all stages, including identification, implementation, monitoring and evaluation according to the EBRD’s banking procedures and in line with the project cycles;
• Establish and manage the individual projects budget, including careful tracking of committed and disbursed funds per project and the programme as a whole, ensuring cost-share is paid by each participating company;
• Ensure a coordinated approach between the client, consultants, and EBRD Agribusiness department bankers both in London and in Kiev.

Monitoring of consultants
• Assist the Agribusiness banking department in selecting international consultants hired for each due diligence, in accordance with the individual banking operation’s needs;
• Monitor the framework consultants’ performance to ensure appropriate level of service is provided throughout the project;
• Process, review and distribute visit reports/minutes prepared by the framework consultants, as well as the final due diligence reports submitted to the banking department;
• Ensure that the projects are carried out in a timely manner and that the required data, inputs and analysis have been delivered.

Programme administration, visibility and communication
• Liaise between the client companies, the donor and Agribusiness bankers as required;
• Provide regular associated reporting to the donors;
• Organize all visibility activities and communication planned under the Programme including 2 events in Kiev and 2 videos about the Programme (TBC);
• Receive, review and forward consultants’ invoices;
• Organize necessary logistical arrangements for visiting consultants, including travel arrangements and on-the-ground logistical support; and
• Carry out other tasks related to the implementation of the Programme, as requested.

Status of Selection Process: Interested individual experts are hereby invited to submit expressions of interest.

Assignment Start Date and Duration: The Assignment is expected to start in February 2017 and has an estimated overall duration of up to 36 months.

Cost Estimate for the Assignment: GBP 131,749 over three years (exclusive of VAT). Additional budget for travel as required by the Assignment will be provided. No extension is envisaged to this Assignment.

The Consultant must determine whether any VAT would be chargeable on the services and the basis for that determination, without taking into consideration the special status of the Bank as an IFI and state this to the Bank in their response to the Invitation for Expressions of Interest. To the extent that a Consultant incurs input VAT on goods and services purchased in connection with the provision of services (e.g. VAT on airline ticket) which is not otherwise recoverable by the consultant from the local tax authority, the gross cost to the consultant of such expenses shall be treated as a reimbursable expense.

Funding Source: This Programme is expected to be funded by the Japan Technical Co-operation Fund (JPN). Please note that selection and contracting will be subject to the availability of funding.

Eligibility: No eligibility criteria apply.

Consultant Profile: Individual services are required. The Consultant shall be an expert preferably with three years of previous professional experience in:

1. Project management and administration, including budgetary administration, of programmes and projects in international development;
2. Management and hiring of consultants and sub-contractors, including monitoring deadlines and work schedules;
3. Dealing with private sector companies and/or government bodies, including international development and donor agencies;

Fluency in written and spoken English are essential. Knowledge of Japanese would be an advantage for stakeholder relations.

Previous working experience and knowledge of the banking sector as well as basic understanding of project finance will be considered an advantage. Working experience and the knowledge of the agriculture/agribusiness sector will be also considered an advantage.

1. Cover letter (maximum 2 pages) summarising why the expert believes they satisfy the requirements as defined in the Consultant Profile;

2. CV (maximum 4 pages) which should include full descriptions of responsibilities carried out, not just a job title, including information on contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided (if different from duration), main activities, objectives;

1. The selection will normally be made from responses to this notification only. Consultants will not be asked to submit a proposal. Expressions of interest will be evaluated by the Evaluation Committee and a shortlist of candidates will be established.
