The European Bank for Reconstruction and Development (the “EBRD” or the “Bank”) is considering providing a sovereign loan of up to EUR 6 million, to be on-lent to the Public Utility Company Komunalac (the “Company” or the “Client”), responsible for water and wastewater services in the Municipality, to be co-financed by grants of up to EUR 3 million from international donors (the “Project”). The Project will support the expansion of the water supply network to rural areas of the Municipality and replace dilapidated water mains to reduce the amount of water losses, including: Replacement of dilapidated water supply pipelines on priority sections, reconstruction of two existing wells and connection of new customers to the existing system. Construction of new water intake and new water supply distribution network with reservoirs and pumping stations to connect 3,500 households in the southern part of the municipality. Construction of new wastewater collection network in four settlements in the northern part of the municipality (Ledenice, Vida, Skorici and Sibovac). The Project's Priority Investment Programme has been designed to improve the Company’s financial position and move towards fully sustainable and commercially viable operations, by significantly increasing its customer base. The Municipality aims to achieve population coverage with running water of around 80 per cent. However, in order to further strengthen the Company's capacity to service debt while providing high quality district heating services the Company requires assistance in the preparation of a Financial and Operational Performance Improvement Programme (FOPIP) and signing of a PSC with the City with the overall objective to improve the Company's operational efficiency, environmental, social and financial management The Company is registered as a shareholding association and is majority owned by the Municipality. It also has a status of a “public company” as it provides public services. The activities of the Company cover several sectors: water and wastewater, solid waste collection and disposal, and maintenance of public areas (e.g. parks, parking, market places and street lights). At the end of 2013, the Company had 63 permanent employees. They are organised in three main divisions: 1) water and wastewater (17 employees); 2) sanitation (24 employees); and 3) administration (22 employees). According to the Company and in line with the planned unbundling, currently 16 employees from the administration division can be associated with the water and wastewater division, while 6 employees can be associated with the sanitation division. In order to support the Company to implement the necessary financial and operational improvements, the Company and the Bank have now agreed that the assistance of an experienced consultancy firm (the “Consultant”) is required. The overall objectives of the assignment are to: Provide assistance to the Company in developing an efficient and focused Financial and Operational Performance Improvement Programme (“FOPIP”) that would cover technical operation of assets, monitoring of the quality of service and implementation of the Environmental and Social Action Plan (“ESAP”). Special focus will be dedicated to development of labour restructuring including preparation of detailed action plan towards legal separation of water and wastewater operations from other activities and increasing labour productivity; Provide assistance to the Company in developing and concluding a focused Public Service Contract (“PSC”) with the Municipality that will include clear technical and financial performance requirements for the Company and obligations on the Municipality in support of achieving such requirements including development of formulae for calculation of tariffs based on full cost recovery. Assignment Start Date and Duration: The Assignment is expected to start in Q2 2015 and has an estimated overall duration of 6 months. Maximum Budget available for the Assignment: EUR 100,000 (exclusive of VAT). The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed. Eligibility: There are no eligibility restrictions; however, consultant selection and contracting will be subject to availability of funding. Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms with: (1) extensive similar previous project experience, preferably in the water sector; (2) project experience in either Bosnia & Herzegovina or the region; (3) previous project experience with an IFI (or equivalent) would be considered an advantage. It is expected that the Consultant’s team of key experts will at least consist of: Project Manager; Financial Expert; Utility Management/Institutional Expert; Legal Expert; Local Experts; and Support staff. Project Description:
The Cantonal Public Utility Company “Vodovod i kanalizacija” d.o.o. Sarajevo (the “Company” or “ViK”) supported by the Canton Sarajevo (the “Canton”) approached the European Bank for Reconstruction and Development (the “Bank” or the “EBRD”) with a request to assist in the preparation and financing of a comprehensive water distribution network rehabilitation programme, to improve water supply services.

The overall Project operation will include a EUR 25 million loan from EBRD to the Canton to finance the rehabilitation of the water distribution network in selected areas.

The investment programme is to support the rehabilitation of identified priority areas within the water distribution network of the ViK Sarajevo system in order to reduce the water leakages through replacement of water mains, reconstruction of pumping stations and installation of meters.

Assignment Description:

Within the context of this major investment project, the Canton, working together with ViK Sarajevo, is seeking consultancy support (the “Consultant”) to assist in the preparation of a Financial and Operational Performance Improvement Programme (“FOPIP”) - in order to promote improvements in the service quality alongside technical cooperation to support financial and operational management at ViK Sarajevo (the „Assignment“).

The FOPIP will aim to:
• improve the Company’s operational efficiency and financial management,
• strengthen the capacity to implement the Project,
• service the debt while providing high quality water and sewerage services
• recommend financial, technical and restructuring covenants, which would serve as
conditions for the commitment of the two uncommitted tranches

The overall objectives of the Assignment are to

•Achieve short term operating and financial improvements through a specific Financial and Operational Performance Improvement Programme (“FOPIP”). 

The FOPIP would include (i) measures and actions to improve operational efficiency and levels of service (e.g. development of a comprehensive non-revenue water (“NRW”) strategy); (ii) measures and actions to increase the revenue collection and reduce accounts receivable; (iii) measures and actions to reduce operating costs and (iv) assistance to the Company to make on-going long-term (5-year) corporate development programmes, including capital budgets and tariff projections.

•Support the preparation of a Business Plan.

The Consultant shall assist ViK Sarajevo to improve its commercial standing, service quality and environmental performance. It will do this by preparing a Business Plan to identify and implement the corporate, financial and operational improvements to improve its performance and, in particular, to meet the covenants in EBRD financing documents. The Business Plan will be a typical comprehensive strategic business document governing the provision of water and wastewater services in the Canton Sarajevo over the long term by ViK Sarajevo in its current form. The Business Plan will be a typical business planning exercise taking a long term, comprehensive review of the existing and future financial, technical, institutional, staffing, legal, environmental, and public-private partnership aspects of ViK Sarajevo operations and the development of strategic, annually updatable plan for ViK Sarajevo’ s future operations over a 10 year time frame.

Highlight specific Corporate Development measures to strengthen ViK Sarajevo’s longer term corporate  planning capacity operating on an autonomous and commercial basis.

Prepare a Public Service Agreement between the Canton and the Company that would specify the rights and responsibilities of its parties. It would include but not be limited to:
(i) measurable performance indicators with clear timetable for their achievements evidencing improvements of the Company’s operational efficiency and levels of services rendered to its consumers;
(ii) automatic tariff adjustment formula and tariff policies (e.g. full cost recovery, elimination of cross-subsidies between consumer groups; not exceed the affordability thresholds etc.)

Review and update the Project Implementation Plan (PIP) and support themobilisation of loan-financed supervision consultants (Supervision Consultant). The Supervision Consultant will then assist the Company to carry out the related tendering and contracting process.

Status of Selection Process: Interested firms or group of firms are hereby invited to submit expressions of interest.

Assignment Start Date and Duration: The Assignment is expected to start in Q1 2018 and has an estimated overall duration of 12 months.

Cost Estimate for the Assignment: EUR 500,000.00 (exclusive of VAT). Subject to availability of funding, the performance of the selected Consultant and the specific needs of the Client the Assignment may be extended beyond the current scope.

The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed.

Funding Source: EBRD Shareholders Special Fund. Selection and contracting is subject to the availability of funding.

Consultant Profile: Corporate services are required.

The Consultant will be a firm or a group of firms with preferably previous project experience related to international water sector projects, development and implementation of a financial and operational improvements in public sector utilities and in the legal framework necessary for drafting and implementing a Public Service Agreement in Bosnia & Herzegovina.

The Consultant’s expert team is expected to include key experts as follows:

a. Key Expert No 1 (Project Manager with water utility expertise) with preferably 10 years of previous professional international experience in water sector projects procured under financing arrangements with government agencies or international financial institutions.
b. Key Expert No 2 (Team leader ) with preferably 10 years of previous professional experience in water/utilities sector projects procured under financing arrangements with government agencies or international financial institutions and experience in project management and restructuring of utility companies and tariff projections. Moreover, the Team leader should be  well acquainted with Bosnia and Herzegovina laws and regulations.
c. Key Expert No 3 (Financial Expert) with preferably 10 years of previous professional experience in financial management of public utilities
d. Key Experts No 4 (Pool of Additional Experts) consisting of Legal expert, Training/Corporate Development experts,  Environmental and Social expert.

Prijedor District Heating Project

The European Bank for Reconstruction and Development (the "EBRD" or the "Bank") is providing a loan of up to EUR 7.0 million to the Toplana AD, Prijedor (the "Company") in the City of Prijedor ("Prijedor" or the "City") in Bosnia and Herzegovina. The Swedish International Development Cooperation Agency ("Sida") is considering a parallel grant in the amount of up to EUR 2 million to co-finance the investments. The Bank's financing will be focused on construction of a new biomass fired district heating plant with total installed capacity of about 16 MW. The investment is aimed to replace existing generation of heat fired with HFO (heavy fuel oil) with wood biomass and will contain a new complete plant including heat generation equipment, buildings and access roads, biomass storage and preparation inclusive external wood chipper, flue gas stack and cleaning, flue gas condenser, I&C and electric installations, and ash handling. Sida's grant would be used to for demand side investments (introduction of metering of heat consumption and modernisation of individual heat substations). The overall objectives of the assignment are to: - Provide assistance to the Company in developing an efficient and focused Financial and Operational Performance Improvement Programme ("FOPIP") that would cover technical operation of the new DH system including supply and storage of biomass financial reporting, monitoring of the quality of service and implementation of the Environmental and Social Action Plan ("ESAP"). Special focus will be dedicated to development of labour restructuring including preparation of detailed action plan towards reducing the overall staff number and increasing the labour productivity; - Provide assistance to the Company in developing and concluding a focused Public Service Contract (“PSC") with the City that will include clear technical and financial performance requirements for the Company and obligations on the City in support of achieving such requirements including development of formulae for calculation of tariffs based on full cost recovery. Using the target indicators that are standard for the sector the Consultant will prepare a concise and focused FOPIP, which will comprise a programme of milestones, to the effect that the Consultant shall: - Advise the Company on the most appropriate organisation structure based on best international experience for companies of this size and type. It will include the staff output ratios and take steps to bring it in line with internationally accepted levels. - Assist in the development of appropriate accounting systems that would satisfy requirements for accounting in conformity with International Financial Reporting Standards (“IFRS”). - Assist the Company to develop a plan for improving all aspects of revenue administration including billing system, collection, administration of arrears, lowering the cost of revenue collection and administration. - Develop a formula for automatic tariff adjustments that will be based on full cost recovery (including operating and capital expenses) and will enable the company to achieve and maintain compliance with financial ratios included in the loan documentation. It should also abandon the practise of cross-subsidy between various consumer groups and eliminate the need for operating subsidies from the City to the Company, and at the same time maintain the affordability of services for the residential consumers. The formula will be incorporated in the PSC. - Devise strategies and measures for improved consumer relations. - Assist the Company in developing procedures that are needed to achieve compliance with EBRD’s Performance Requirements (“PRs”) and to implement the ESAP that has been developed and agreed with the Company to address the additional measures. - Action Plan: All recommendations shall be summarised in an action plan table with clear deadline for each action and where appropriate indication of related costs of implementation. In addition to the above, it is envisaged that Consultant will work with the Company to prepare a Public Service Contract ("PSC") for signing with the City that reflects the goals and tasks that form the FOPIP. Assignment Start Date and Duration: The assignment is expected to start in late January 2015 and be completed within 6 months. Maximum Budget available for the Assignment: EUR 150,000 (exclusive of VAT). The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed. Funding Source: Swedish International Development Cooperation Agency (SIDA) Eligibility: There are no eligibility restrictions. Consultant Profile: Corporate services are required. The Consultant shall provide adequate staff in terms of expertise and time allocation, as well as needed equipment in order to complete the activities required under the scope of work and to finally achieve the objectives of the project in terms of time, costs and quality. Project Description: The European Bank for Reconstruction and Development ("EBRD", the "Bank") is currently considering a sovereign loan of up to EUR 10 million to facilitate the rehabilitation and upgrade of facilities at the Port of Brcko (the "Port") operated by J.P.Luka (the "Company") and improvement of road and railway access to the Port (the "Project"). District of Brcko (the "Client"), one of three independent state entities of Bosnia and Herzegovina, will implement the Project.

The Port is located in the north-eastern part of Bosnia and Herzegovina, on the right side of the Sava River waterway. The Port is a transit point for cargo traffic flows to and from the heavy industries in Bosnia and Herzegovina. The Project will significantly improve operational efficiency of the Port and increase the cargo handling capacity of the Port, which is currently limited by the difficult rail access and outdated infrastructure.

The Port is part of the Danube river inland waterway, which has been established as an indicative extension of the TEN-T networks to the Western Balkans Core Network. The proposed project forms part of the Connectivity Agenda of the European Union which promotes transport connectivity in the Western Balkans as an important factor for economic development, regional cooperation and EU integration.

Assignment Description: In order to facilitate the timely delivery of the Project a consultant (the "Consultant") is required to assist the Client with undertaking the Project related procurement activities in accordance with EBRD Procurement Policies and Rules (PP&R) and provide support with the management and implementation of the contracts related to the Project (the "Assignment").

The expected outcome of the Assignment is that the Project is completed to schedule timely and effectively.

The Assignment is divided into two phases and the Consultant has the following tasks for each Phase:

Phase 1:
1. facilitate the timely and effective implementation of the Project in compliance with the loan agreement through assistance and advice on all procurement matters as described in the EBRD Procurement Policies and Rules, which include amongst other the assistance to PIU with the prequalification documents preparation and process, tender document preparation, tender evaluation and contract award, reporting to the Bank. Particular attention shall be paid to the harmonization, interfacing and time linkages between the different aspects of the Project, including the project contracts interfaces.

Phase 2:
2. support the PIU during the implementation of contracts, provide advisory services to assist the PIU in meeting the works schedule, assess any requests of change(s) variation orders and providing other technical input/advice as needed. The Consultant shall assist the PIU with the preparation of the Project progress reporting required under the EBRD Loan Agreement.

3. transfer of knowledge and skills to the PIU staff. The transfer of knowledge and skills is intended to result from collaborative working between the Consultant and the PIU staff – reinforcing the need for the Consultant to maintain a regular local presence.

The Consultant shall only progress to Phase 2 of the Assignment with the prior authorisation of both the Bank and Client.

Status of Selection Process: Interested firms or group of firms are hereby invited to submit expressions of interest.
Assignment Duration: The first phase of the assignment is expected to start in Q1 2017, the second phase will require Client's and Bank's prior approval. The estimated overall duration of both phases is 24 months.


Cost Estimate for the Assignment: EUR 250,000; exclusive of VAT.
The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed.

Funding Source: It is anticipated that the contract will be financed through the EBRD's donor funded Technical Cooperation Funds Programme.

Eligibility: There are no eligibility restrictions.

Consultant Profile: Corporate services are required. The Consultant will be a firm or a consortium of firm(s) with previous project experience:
- in the design, procurement and engineering supervision (including environmental and social requirements) of projects in the road sector financed by international financial institutions such as the EBRD, World Bank, ADB; and
- in providing consulting services for Project Implementation Support, including specific experience in railway, road and port projects in a similar environment.

Since knowledge of local legislation will be required, consulting firms are encouraged to associate with, or to subcontract to local companies or individuals with the relevant local expertise.

The Consultant's expert team is expected to include key experts as follows:
- A procurement specialist with preferably 5 years of professional experience in similar assignment in the infrastructure sector financed by international financial institutions and demonstrable experience in undertaking at least one procurement process in accordance with IFI (EBRD/EIB/etc) procurement rules;
- A railway engineer and project manager with preferably 5 years of professional experience in the railway sector;
- A port infrastructure engineer with preferably 5 years of professional experience in the port infrastructure sector;
- A road infrastructure engineer with preferably 5 years of professional experience in the road infrastructure sector.

All Key Experts shall be fluent in written and spoken English. It is essential that the Consultant’s team contains some experts fluent in Bosnian.

The experts are not required to reside in Brcko for the full duration of the assignment but should be available for attending meetings with the PIU and other stakeholders, as and when required, subject to the sufficiency of the budget.

Submission Requirements: In order to determine the capability and experience of Consultants seeking to be shortlisted, the information submitted should include the following:

(a) Company/group of firm’s profile, organisation and staffing (max. 2-4 pages);
(b) Details of previous project experience or similar assignments particularly undertaken in the previous 10 years, including information on contract value, contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided (if different from duration), assignment budget, percentage carried out by consultant in case of association of firms or subcontracting, main activities, objectives, etc;
(c) i) Proposed Work Plan outlining the plan for the implementation of the main activities/tasks of the Assignment, their duration plus milestones and a ii) Methodology for implementing the tasks to deliver the expected output(s), and the degree of details of such output(s) (max. 4 pages);
(d) CVs of key experts who could carry out the Assignment detailing qualifications, experience in similar assignments, particularly assignments undertaken in the previous 5 years, including information on contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, main activities, objectives.
