The Governmentof Mozambique has received financialassistance from the World Bank and other donors for funding theMining and Gas TechnicalAssistance Project (MAGTAP) in thecountry. The overallobjectives of MAGTAP are: (i) Enhance theeconomic and fiscal benefits in the extractive industry (ii)Establish an appropriate legal framework for the exercise of mining and oiloperations in consideration of economic impact, environmental and socialsustainability of the mining industry, (iii) enhancing transparency andaccountability in the extractive industry by strengthening goodgovernance,(iv) supporting reform, and capacity building initiativesto improve efficiency and accountability of the institutionsinvolved in theplanning and management of the mining sector and Hydrocarbons and(v) Support the development of a legal framework that promotes regionaland local development in mining production and natural gas andstrengthen good governance.Part of the project funds will be applied towards the cost of Legal Consultant forTransaction Assistance on LNG in area 1 and 4 in Mozambique.
The consulting services ("the Services")include: (i) Support the negotiations of the relevant project documents, including, as required, host governmentagreement (or similar project implementation agreements) with the Concessionaires and their Lenders, including drafting, finalizeand negotiatingproject documents to which the GoM is a party; (ii) Reviewing and providing advice on the fiscal terms and guidanceregarding the contractual and commercial aspects of the LNG Gas Value Chain, as well as advice in relation to the development ofthe Mozambican local gas market; (iii) Reviewing, advising upon and, where appropriate, redrafting agreements such as LNG SPAs,tolling/Services agreements and marketing agreements or protocols, and direct agreements with Government, including advising on theimplications and appropriateness of agreements/arrangements with indirect affect Government such as the Unitization Agreement; and(iv) Provide ancillary advice and assistance as required to secure appropriate Mozambican law advice , including on areas such astheland required for the LNG plan, port facilities and airport, as well as identifying and defining timetables for tasks to beundertaken by the regulator/Government, in order to avoid unnecessary delays on the approval process.
For this consultancy it is intend to hire anIndividualConsultant with relevant experience in the field ofthe assignment. The Candidate shall have: (i) experience in advising Oil & Gas hostgovernments with negotiations of project implementation agreements with Concessionaires and their Lenders; (ii) experience indrafting and negotiating legal project documents and fiscal terms; and (iii) international and regional experience in legalcontractual and commercial aspect of the LNG Gas Value Chain.
TheMinistry of MineralResources and Energy now invitesqualifiedconsultants to express their interest in providing the services. Interested consultants must provide informationindicating that theyare qualified to perform the services (CV, description of similar assignments, experience in similarconditions, etc.)
A Consultant will be selected in accordance with theprocedures set out in the World Bank´s Guidelines: Selection and Employment ofConsultants under IBRD Loansand IDA Credits & Grants by World Bank Borrowers, January 2011 ("ConsultantGuidelines").
