YEREVAN METRO REHABILITATION PROJECT – PHASE III

 

The Republic of Armenia and Karen Demirchyan Yerevan Metro Company CJSC (“the Company”) intend to use the proceeds of a loan expected to be provided by European Bank for Reconstruction and Development (the “EBRD” or the “Bank”), a loan expected to be provided by European Investment Bank (the “EIB”) and a grant expected to be provided by an international donor towards the cost of the third phase of the Yerevan Metro Rehabilitation Project (Phase III, the Project). The purpose of Phase III of the Project is to improve the operation facilities which reduce energy costs of the Company, as well as finance replacement of track maintenance materials and tools.

 

The proposed project, which has a total estimated cost of EUR 21 million equivalent, will require the procurement of the following goods, works and services:

 

  • Refurbishment and modernisation of 12 metro cars;
  • Rehabilitation of maintenance  Depot ;
  • Replacement of power cables and modernisation of equipment at electrical traction substations;
  • Refurbishment and modernisation of station escalators (14nr) with digital Master Control Unit;
  • Replacement of 24 ventilators connected to digital Master Control Unit;
  • Supply of track maintenance materials and components (R50 rails, maintenance materials);
  • Supply of track maintenance machines (draisine and flat-bed wagons); and
  • Structural steelwork and asbestos sealing.

 

Tendering for the above contracts is expected to begin in the fourth quarter of 2015.

 

Contracts to be financed with the proceeds of loans from the Bank and EIB and a grant from an international donor will be subject to the Bank's Procurement Policies and Rules and will be open to firms from any country. The proceeds of the Bank’s loan, EIB loan or an international donor’s grant will not be used for the purpose of any payment to persons or entities, or for any import of goods, if such payment or import is prohibited by a decision of the United Nations Security Council taken under Chapter VII of the Charter of the United Nations or under a law of official regulation of the Purchaser's country.

Project Description:
The European Bank for Reconstruction and Development (the EBRD or the Bank) is supporting the City of Gyumri (Gyumri or the City) finance the rehabilitation of major streets, as well as the modernisation of street lighting in the City (the Project). Gyumri’s street network is currently illuminated through a network of around 4,970 street lights, of which some 80 per cent are operational. The street lighting installation consists mainly of old, inefficient and environmentally polluting mercury-based luminaires. The heavy-metal based content of the current lighting system contributes to energy waste and is a considerable environmental hazard when disposed into land-fills. Due to the antiquated condition, and the high percentage of non-functional lights, a large part of the streets, including some primary roads in the city centre, are not sufficiently illuminated, which results in decreased road safety and increased public security concerns. The City is therefore seeking to modernise its street lighting. It has embarked on a limited pilot to replace existing lanterns with modern energy-efficient light emitting diode (LED) lanterns, however, to date limited improvements have been made to the electrical cabling which is mostly in a poor and potentially dangerous condition. The proposed investments will ensure that fit for purpose street lighting equipment with safe electrical cabling is installed in the City along the roads that are being rehabilitated under the Project.

Assignment Description:
Given the investment requirements above, the Bank is seeking to engage a consulting company (the Consultant) to perform a feasibility study (the Assignment) for the street lighting component (the SL component) under the Project. The expected outcome of the Assignment is to provide the Bank with clear external analysis and recommendations concerning the SL component from a technical, engineering and institutional perspective, with a view towards financing the SL component to produce a modern energy efficient street lighting system for the City while also achieving improved efficiencies. The Consultant will carefully assess the priority investment plans of the City for public lighting, together with any feasibility studies, drawings and designs which are already prepared. The Consultant will closely liaise with the Project Implementation Support consultants (the PIS Consultant) that will be hired to prepare the tender documents and assist in procurement for the Project including preparing the tender documents and procurement for a long-term maintenance contract covering street and street lighting infrastructure to be contracted to the private sector. The Consultant shall, taking into account the EBRD’s environmental, technical and procurement policies and procedures identify those investments that best fit within the scope of the Project and within the estimated SL component budget. The Consultant shall prepare a report with justified recommendations for consideration by the City and the Bank.

The Consultant is expected to carry out the following specific tasks:

a. Review, summarise and document any road and street development plans, available studies by local or
international institutions and the City’s investment proposals, and set out the rationale and justification for
the SL component investments. The Consultant will take into consideration the current technical condition and lighting quality of selected streets and related infrastructure, scope and initial results of the LED pilot being implemented by the City as well as ongoing consultancy or contractors’ work related to the overall Project;

b. Determine the scope of the SL component that would be financed in the total amount of EUR 6 million by preparing the priority investment programme based on the cost-benefit analysis. This will purely focus on the modernisation of the street lighting system in the City and will take into account the existing City plans and street lighting modernisation that will have been undertaken by the time of this assignment. The Consultant will also outline possible future expansion of the street lighting system which may be anticipated within City plans and future developments.

c. Study and confirm the new and innovative green technology, specifically in carbon/economic savings, to be achieved in the SL component. Prepare the estimates of the energy savings to be achieved as a result of the SL component and the related CO2 reduction as well as other technical outcomes of the SL component. The format of the corresponding deliverable should be sought from the Bank.

d. Provide current costs associated with the new lighting infrastructure and estimate a 10-year outlook of the potential energy and – separately – maintenance cost reduction of the same infrastructure, and then compare the cost savings of the delayed implementation with the cost savings, including energy, carbon and system management, of the instant implementation.

e. Assemble and review all available relevant data, reports, designs and mapping for the proposed investments, and advise on any additional design work that may be required;

f. Advise the Bank on the appropriateness of the current lighting set up in relation to traffic demands, road and pedestrian safety, etc. Taking into account the existing Feasibility Study and other available materials, the Consultant will review existing street lighting system, including inventory and energy audit, and define the new LED investments including definition of system components and functionality, costs, operational and performance requirements, comprising control centre, wifi additionality and other possible smart city components;

g. Set out the scope, process and budget for the City to complete all necessary planning and design work for the recommended SL component, including economic evaluation;

h. Perform a legal and regulatory assessment of a future proposed structure and changes to existing city operator, including outline of any legal requirements to implement the SL component;

i. Prepare a basic economic internal rate of return (“EIRR”) of the proposed public lighting investments within the SL component;

j. Prepare a Cost Table, giving best estimates of the costs of SL component preparation including preparation of detailed design documentation, construction/implementation, works supervision costs, based on currently available information. Cost estimates should be presented separately for each segment, based on local or other relevant construction markets. The cost estimates for the details design shall include, where applicable, the cost of any surveys;

k. Prepare a draft Procurement Plan and Implementation Plan – with the recommended procurement strategy and appropriate descriptive text – for inclusion in the Bank’s internal processing documents;

l. In co-operation with the PIS Consultant as may be relevant propose a general bid evaluation methodology with appropriate criteria for tendering out rehabilitation of the street lighting system. The evaluation criteria shall include, among others, the extent to which the bidder has had experience in street lighting contracting projects;

m. Carry out an Environmental and Social Impact Assessment (ESIA) of the SL component in accordance with the national laws, the EIA Directive, EBRD’s Environmental and Social Policy (2008) and its relevant Performance Requirements (PRs).

Status of Selection Process: Interested firms or groups of firms are hereby invited to submit expressions of interest.

Assignment Start Date and Duration: The Assignment is expected to start in Q1 2017 and has an estimated overall duration of 12 weeks.

Cost Estimate for the Assignment: EUR 120,000 (exclusive of VAT).

The consultant must determine whether any VAT would be chargeable on the services and the basis for that determination, without taking into consideration the Bank's special status as an IFI and state this to the Bank in their response to the Invitation for Expressions of Interest. To the extent that a consultant incurs input VAT on goods and services purhcased in connection with the provision of services (e.g. VAT on airline ticket) which is not otherwise recoverable by the consultant from the local tax authority, the gross cost to the consultant of such expenses shall be treated as a reimbursable expense.

Consultant Profile: The consultant will be a firm or group of firms with previous project experience preferably in developing urban street lighting, urban energy and/or smart city projects in Armenia, Eastern Europe and the Caucasus. The Consultant will ensure that appropriately qualified experts are available, as required, for each of the different tasks outlined above. It is expected that the Assignment will be led by an appropriately qualified Team Leader/Project Manager accompanied by both key and non-key experts.

The Consultant’s team is expected to include Key Experts covering preferably the following disciplines:
Key Expert 1: Civil / traffic Engineer with preferably eight years’ or more previous project experience in carrying out feasibility and preliminary design studies for road projects. Preferably four years’ experience is required of the planning and design of urban road improvements.

Key Expert 2: Electrical / Public Lighting Expert with preferably five years’ previous project experience in similar projects.

Key Expert 3: IT Specialist with preferably five years’ or more previous project experience in similar urban projects and street lighting systems.

Key Expert 4: Procurement Expert with preferably five years’ or more previous project experience in private sector contracts, including DBOM and energy performance contracts;

Key Expert 5: Legal Expert with preferably five years’ or more previous project experience carrying out legal assessments in similar fields.

Key Expert 6: Financial Expert with preferably eight years’ or more previous project experience carrying out financial analyses for similar projects.

Key Expert 7: Environmental and Social Specialist with preferably five years’ or more previous project experience in: (a) carrying out environmental impact studies of road projects. The Environmental Specialist should also have preferably 5 years’ or more previous project experience in carrying out environmental impact assessments in accordance with the environmental policy, guidelines and requirements of the EU and major international financial institutions (IFIs).


The Team Leader nominated for the assignment should be from either Key Expert 1 or 2, namely Civil/Traffic Engineer or Electrical/Public Lighting Expert, and should possess previous project experience (e.g. long-term operation and maintenance contracts) where performance-based approach or life-cycle costing was employed.

Project Description:
The City of Gyumri (“Gyumri” or the “City”) is the capital of the Shirak Province and is the second largest city in Armenia with a population of 146,000.  Economic activity in the City comprises mainly of tourism, production of building materials, textile manufacturing and food processing industries.  Armenia’s capital, Yerevan, is located around 125 km south of Gyumri.  The international border with Turkey is also located some 10 km to the west of Gyumri, but this border is presently closed. 

Major roads converge on Gyumri from all directions and there is no bypass to remove through traffic from the congested city centre. Street infrastructure, together with street lighting has seen little investment or effective maintenance during the last two decades and the improvement of street network infrastructure has been identified as a key priority by a number of previous studies.

Gyumri’s road network had previously been illuminated by an installation of around 10,700 street lights, of which some 50 per cent were operational.  This street lighting installation consisted mainly of old, inefficient and environmentally polluting luminaires.  Due to the antiquated condition, and the high percentage of non-functional lights, a large part of the streets, including some primary streets in the city centre, was not sufficiently illuminated, which resulted in decreased road safety and increased public security concerns.  The City is currently implementing a programme to modernise its street lighting by replacing the existing luminaires with light-emitting diode (“LED”) luminaires.

The City of Gyumri (the Client) has requested the European Bank for Reconstruction and Development (the "EBRD" or the "Bank") to provide technical assistance for the rehabilitation of primary and secondary streets, as well as the modernisation of public lighting in the City (the "Project").
 

Assignment Description:
The Client now intends to retain a consulting company (the “Consultant”) to provide support during the implementation of the Project (the “Assignment”).

The Assignment will be split into three main sections:

Part A: Detailed design and procurement support for the works contracts
Part B: Construction supervision for the of the works contracts
Part C: Preparation of tender documents and procurement support for maintenance contracts covering street infrastructure and street lighting.

Part A:  Detailed Design and Procurement Support for the Works Contracts

The objectives of Part A are to: 
(i)  support the City’s Project Implementation Team (PIT) in finalising the scope of street pavement and street lighting improvement works to be implemented through the proposed loan funded project;
(ii) prepare the detailed design of the agreed scope of street pavement and street lighting improvement works for the project;
(iii) update existing environmental, social impact and resettlement documents to reflect the scope of works determined in the detailed design and prepare detailed Environmental and Social Management and Monitoring Plans to cover the construction phase of the project to ensure compliance with the Bank’s Environmental and Social Policy (2008) Performance Requirements (PRs); 
(iv) support the City’s PIT in agreeing a procurement and implementation strategy for the project with EBRD; 
(v)  prepare the necessary Tender Documents for the street infrastructure and street lighting improvement works in accordance with the agreed procurement and implementation strategy; and
(vi) assist and support the City’s PIT during the tendering and contract award phases for all works contract lots forming the EBRD loan funded project; 

The selected Consultant is expected to provide the following services:

  1. Confirmation of the Scope of Works for the Loan Funded Works
  2. Surveys and Investigations
  3. Detailed Design
  4. Road Safety Audit
  5. Cost Control
  6. Environmental and Social Impact Assessment
  7. Support to the City Authority to obtain Statutory Technical and Environmental Project Approvals
  8. Preparation of Tender Documents and Procurement Support
  9. Tender Evaluation and Contract Award Support to the PIT
  10. Provision of Advice to the PIT and the City Authority 


Part B - Construction Supervision for the of the Works Contracts

The objective of Part B is to assist the Traffic Department and its PIT in the implementation of the Works Contracts by providing construction supervision duties to ensure that all works are carried out in accordance with the contract documents and to administer the civil works contract as ‘the Engineer’.  

The selected Consultant is expected to provide the following services:
1. Project Implementation Support to the PIT
a. Management and Monitoring of Environmental Impacts
b. Management and Monitoring of the Land Acquisition and Involuntary Resettlement Process
c. Road safety inspections during the construction stage and road safety audits for the construction design and road safety traffic management
d. Administrative and Management Support to the PIT

2. Supervision of Works, including general supervision duties, programme reports, dealing with variations, claims from the contractor, design responsibilities, the road safety audit and the taking over and defects notifications period.


Part C - Preparation of Tender Documents and Procurement Support for Maintenance Contracts Covering Street Infrastructure and Street Lighting

The objective of Part C is to assist the City Administration and the Traffic Department in achieving the Transition Impact requirements of the EBRD Loan Agreement by introducing cost-effective maintenance contracts for street infrastructure and street lighting which shall be implemented by private sector contractors.  

The selected Consultant is expected to provide the following services:

1. Prepare a City Asset Maintenance Plan and identify the scope and form of street infrastructure maintenance contract
2. Identify the scope and form of street lighting maintenance contract
3. Prepare street infrastructure and street lighting tender documents and support procurement
4. Support the PIT in evaluating tenders and awarding contracts

Status of Selection Process: Interested firms or group of firms are hereby invited to submit expressions of interest.

Assignment Start Date and Duration: The Assignment is expected to start in early 2017 and has an estimated overall duration of  months.

Cost Estimate for the Assignment: EUR 1,200,000 (exclusive of VAT), with the following breakdown per sections: Part A - EUR 350,000; Part B - EUR 675,000; and Part C - EUR 175,000.

The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed.

Funding Source: It is anticipated that the Assignment will be financed by the EBRD Shareholder Special Fund. Selection and contracting is subject to the availability of funding.

Consultant Profile:  The Consultant’s expert team is expected to include key experts for Parts A-C as follows:

Part A
(i) Key Expert 1:
Team Leader/Highway Engineer with preferably eight years’ experience of carrying out detailed design and preparation of tender documents for road projects.  Preferably four years’ experience is required of the design of urban road improvements and of carrying out design and procurement of works contracts in former Soviet Union countries. The Highway Engineer would preferably have a Bachelor’s degree and be a chartered engineer or be licensed to practise as a qualified engineer; 
(ii) Key Expert 2: Electrical Engineer with preferably five years’ experience of the inspection and improvement of existing street lighting and traffic signal installations, as well as the design and operation of modern street lighting and traffic signal installations.  The Electrical Engineer would preferably a Bachelor’s degree and be a charted engineer or be licenced to practise as a qualified engineer; 
(iii) Key Expert 3: Procurement Specialist with preferably five years’ experience of the preparation of tender documents for works projects and evaluation of works tenders, as well as knowledge of procurement policies and procedures of major international financial institutions (IFIs) such as EBRD, World Bank and Asian Development Bank.   
(iv) Key Expert 4: Environmental Specialist with preferably five years’ experience of: (a) carrying out environmental impact studies of road projects.  The Environmental Specialist would also preferably have more than 5 years’ experience of carrying out environmental impact assessments in accordance with the environmental policy, guidelines and requirements of the EU and major IFIs;  
(v) Key Expert 5: Social Impact and Resettlement Specialist with preferably five years’ experience of carrying out social impact assessments of transport infrastructure projects and preparing associated Resettlement Plans in accordance with the policy, guidelines and requirements of major IFIs. 
(vi) Key Expert 6: Road Safety Specialist with preferably five years’ relevant experience as well as experience of working in accordance with the environmental policy, guidelines and requirements of the EU and major IFIs; experience on gender and road safety issues preferred.

The Team Leader and the Procurement Specialist will reside in Gyumri for the full duration of their respective assignment periods.

 Key Expert 1: Team Leader with preferably 10 years’ experience in the construction supervision of major road projects, 6 years’ experience of acting as a Team Leader / Senior Resident Engineer on the supervision or road construction / rehabilitation projects with responsibilities for acting as the Engineer, evaluating contractor’s claims; and resolving contractual disputes, 5 years’ experience of the construction supervision of road projects in emerging counties and former Soviet Union countries and in the construction supervision of IFI funded civil works contracts that use FIDIC conditions of contract.
(viii)  Key Expert 2: Senior Pavement/Materials Engineer with preferably 8 years’ experience in the supervision of road and pavement construction in developing or emerging counties and 10 years’ experience in supervising and managing quality control of materials for road and pavement construction.
(ix) Key Expert 3: Senior Electrical Engineer with preferably 8 years’ experience in the supervision of road lighting installations in developing or emerging counties.
(x)  Key Expert 4: Senior Contracts Specialist with preferably 8 years’ experience of the evaluation of contractors’ claims for extension of time and additional costs and in the resolution of contractual disputes in civil works contracts based on FIDIC General Conditions of Contract.
(xi) Key Expert 5: Senior Environment/Social Specialist with preferably 8 years’ international experience in similar work in developing countries;
(xii) Key Expert 6: Road Safety Auditor with preferably 10 years’ experience of carrying out road safety audits and working as a road safety specialist identifying accident black-spots and designing road safety mitigation works.

Key Experts 1-6 for Part B should preferably have a Bachelor’s degree and good proficiency in written and spoken English.

(xiii)  Key Expert 7: Highway Engineer preferably with a recognised engineering qualification in Armenia and 8 years’ experience in design and construction supervision of highway works, highway drainage and utility diversion works.
(xiv) Key Expert 8: Pavement/Materials Engineer, preferably with a recognised engineering qualification in Armenia and 8 years’ experience in the construction supervision and quality control of road construction contracts involving new and rehabilitated road pavements.
(xv)  Key Expert 9: Electrical Engineer, preferably with a recognised engineering qualification in Armenia and 8 years’ experience in the construction supervision and quality control of road lighting installations.
(xvi) Key Expert 10: Quantity Surveyor preferably with a recognised engineering qualification in Armenia and 5 years’ experience in preparing bills of quantities and measurement of road construction projects.  

The Consultant’s team in Part B will reside in Gyumri for the duration of their respective Assignment periods.  


Part C
(xvii) Key Expert 1: Team Leader / Highway Maintenance Engineer
with preferably eight years’ experience of the planning and implementation of road maintenance operations in an urban environment; four years’ experience is required of the planning and implementation of road maintenance operations carried out by private sector contractors, using contracts based on achievement of defined levels of service; four years’ experience of the implementation of institutional reform assignments involving transition from road maintenance operations carried out by the public sector to the private sector; and three years’ experience of carrying out related road maintenance consultancy assignments in former Soviet Union countries. 
(xviii)  Key Expert 2: Electrical Engineer with preferably eight years’ experience of the planning and implementation of street lighting operation and maintenance works; four years’ experience is required of the planning and implementation of street lighting operation and maintenance works carried out by private sector contractors, using contracts based on achievement of defined levels of service; and four years’ experience of the implementation of institutional reform assignments involving transition from street lighting operation and maintenance operations carried out by the public sector to the private sector. 

Key experts 1-2 for Part C would preferably have a Bachelor’s degree and be a chartered engineer or be licenced to practise as a qualified engineer. 

(xix) Key Expert 3: Procurement Specialist preferably with five years’ experience of the preparation of tender documents for road works and road maintenance projects and evaluation of works and maintenance contract tenders. The Procurement Specialist would preferably have a Batchelor’s degree.  

The Consultant’s team in Part C will reside in Gyumri for the duration of their respective Assignment periods.  

Non-key experts are expected to include full and part time site supervisory staff, environmental, social impact and resettlement monitoring staff, topographical surveyors, interpreters/translators and administrative staff as needed.

The Employer now invites sealed tenders from contractors for the following contract to be funded from the proceeds of the EBRD loan: Design, Supply and Installation of Equipment for Metro Car Washing Facilities A semi-automatic washing facility for 81-71M type metro cars (fixed position or movable depending on Supplier’s system), including: Gantries for mounting equipment Vertical brushes Horizontal brushes All motors, gears and pumps for operation Dosing station for cleaning agents Water heating system Manual washing equipment Control panel / cabinet for all functions of washing facility Pipes, connections to CWRF A fully automated compact water recycling facility (CWRF) with a flow rate of at least 2 l/sec, including the following components: Wastewater treatment plant with multi-layered filter unit Tank for recycled water Neutralisation unit Dosing station for neutralisation agent Plumbing, pumps and valves (as required by supplier’s particular system) Sensors and control units (as required by supplier’s particular system) Control panel / cabinet for all functions of CWRF Further installations such as electrical distribution panel / cabinet Spare parts for 2 years (starting after the end of the Defects Liability Period) of operation and maintenance of the complete system Related Services: Project management and design Installation of complete system in the Purchaser’s premises Testing and commissioning Training of Purchaser personnel for operation of the facilities System drawings and documentation in English and Russian Operation and maintenance manuals in English and Russian Maintenance during Defects Liability Period Treated wastewater shall be suitable for washing metro cars or discharge into the Yerevan wastewater system in accordance with the requirements of Armenian legislation. Tendering for contracts to be financed with the proceeds of a loan from the Bank is open to firms from all countries. The proceeds of the Bank’s loan will not be used for the purpose of any payment to persons or entities, or for any import of goods, if such payment or import is prohibited by a decision of the United Nations Security Council taken under Chapter VII of the Charter of the United Nations. To be qualified for the award of a contract, tenderers must satisfy the following minimum criteria and supply supporting documentation in the language of the tender: Company registration documents Quality Systems certification: ISO 9001 or regional equivalent certificates of the supplier (with a validity covering at least the supply period). Evidence of experience: Experience as supplier that has installed at least 3 units within the last 5 years, each with a value of at least EURO 25,000.00, that have been successfully and substantially completed and that are similar to the proposed contract. Theconsulting services ("the Services") include: -         Prepare aTraining Program for specialists ofthe Client and WUAs for implementation under ISMP; -         Review thelegal framework regulating WUAs'performance and provide recommendations for its improvement; -         Review theirrigation fee collectionarrangements and propose measures for improving the collection rate; -         Developmeasures aimedat increasing waterusers' awareness using all the modern communication means to developinstitutional capacities of WUAs; -         Review theinstitutional capacities of WUAswith proposals on future improvements in the irrigation sector, studytheincentives and promotional arrangements to stimulate performance of governancebodies; -         Prepare draftconceptsand strategy onpromoting Participatory Irrigation Management (it is proposed to presentspecific promotional steps, measures), analyze measures aimed at increasing theawareness level among water users and their representatives, prepare a draftstrategy for establishment of a pilot federation of WUAs; -         Review thearrangements aimed at improvingawareness level on application of new irrigation techniques and technologies; -         Review thearrangements aimed at increasing thequality of services provided to water users and submit proposals for theirimprovement; -         Review thelegal framework regulating theprocedures for writing-off receivables and develop solutions for writing offreceivables generated by water users within 2004-2008 without incurring taxliabilities, including preparation of amendments to the existing legislation; -         Review and assess the actualelectricity consumption by pumping unitsoperated by the WUAs, and analyze and make recommendations on the feasibilityof construction of an electrical count meter-based SCADA system to ensure thecontinuous development of the accounting system. -         Based on all the above prepare detaileddescription of institutionaldevelopment component for the ISMP project documents. Thecontract for consulting services is expected to start in January of 2015.
