INDIVIDUAL CONSULTANT) Republic of Serbia Deposit Insurance Agency of Serbia Deposit Insurance Strengthening Project IBRD Loan 8340-YF Assignment Title: ResidentInternational Consultant for Privatization and Restructuring of Financial Institutions (Reference No. 2A.1.2 ofthe Procurement Plan) TheRepublic of Serbia (RoS) has received financing from the International Bank for Reconstruction and Development (IBRD) toward the costof the DepositInsurance Strengthening Project andintends to apply part of the proceeds for consulting services. The DepositInsurance Agency of Serbia (DIA), along with the National Bank of Serbia (NBS) and the Ministry of Finance (MoF), is a part of thesafety net system that aims to limit the impact of problematic banks on the financial system and the overall economy. The DIA'sprimary responsibilities include: 1)the reimbursement of insured depositors through the Deposit InsuranceFund and 2) theadministration of bankruptcies and liquidations of banks. As a result of recent amendments to the Serbian financial legislation, the Republic of Serbia took responsibilityfor the management ofstate-owned financial institutions previously performed through the DIA, while the DIA remained in charge of the sale procedure for the bank that isalready in the privatisation process. The bank is systemically important and one of the largest banks in the market. Thetarget datefor closing the transaction with the buyer is 31 December2017. In this process, the DIA acts as the agent for the majorityshareholders, including the Government of Serbia (GOS). Additionally, theDIA is in charge of the sale of socially owned capital ininsurance companies, including the largest Serbian insurer. DIA is seeking services of experienced individual international consultant for assisting the DIA and the Ministry of Finance(MoF) (per request) for privatization and restructuring of financial institutions. This consultantwill focus on: (i) providingexpertise andhands on management assistance to the DIA and MoF (per request) in: a) preparationfor privatization of certain bank and insurance companies and implementation of the sales process; b)restructuring of the banks and insurance companies with the state ownership, if needed; and, (ii) acting as thein-houseexpert resource and coach for the team of local staff who will be             responsible for executing the tasks ona day-to-daybasis. Project Performance Monitoring REQUEST FOR EXPRESSIONS OF INTEREST (CONSULTING SERVICES ? Considering that the Project has been designed to utilize the model of results baseddisbursement with the exception of few consulting services and technical assistance activities, a series of Disbursement LinkedIndicators (DLIs) will be used to establish the achievement of the agreed results. The consulting services ("the Services") include performance of annual audits and resultsmonitoring and evaluation, which will serve to measure the progress in Project performance against pre-defined annual performancetargets. The DLIs are grouped into three broad categories: I)         DLI-1: RoadRehabilitation and Safety ? targets will be met when predefined number of kilometers under the Project is rehabilitatedincorporating safety considerations; II)        DLI-2:RoadSafety Actions ? targets go beyond the Project and include road safety inspections and implementation of low-cost safety measureson sections of the state road network that are not part of the project, awareness campaigns and the certification of road safetyauditors; III)      DLI-3:Maintenance Management Reforms ? targets will be met when the updated rehabilitation and maintenance design standards are adopted,a strategic plan for PBMC is developed, tender documents prepared and issued, training conducted and contracts signed. The objective of services is integrated performance audit which will review engineeringdesigns, management of socialand environmental issues, procurement, quality assurance, contract management and compliance withagreed conditions, quality of Project supervision, review of traffic safety implementation and achievement of DLIs to triggerdisbursement. The performance audit consultant will report onProject implementation progress, complianceas defined in the ProjectOperation Manual (POM) and other Project documents, shortfalls in performance, if any, and reasons andactions to correct them. The performance audit consultant will broadly perform the followingactivities: -          Verification of eligible expenditures underthe Project ? this aspect of the work isto determine that the expenditures under the Project are eligible for reimbursement and have been incurred in compliance with theplanning, safeguards and procurement arrangements provided for under the Project; -          Verification that roads are rehabilitated in accordance with contract documents ?which implies technical audit focusing on the examination of quality of the works, verification if the road works comply with thetechnical specification and standards described within the bidding and contract documents and properly reflected in the siterecords; -          Verification that the DLIs have been met ? the consultant will be responsible fordetermining the extent to whichthe DLIs have been met and to make assessment of the amount of funds to be disbursed from the WorldBank/EIB loans. The Project, aims to improve the effectiveness andcoordination of selected public programs to alleviate constraints to competitiveness and jobs, including investment and exportpromotion, innovation, active labour market programs, labour intermediation, and activation of social assistance beneficiaries. This Project is implemented by three ministries ? the Ministry of Economy (plus itsdevelopment agencies), Ministry of Education, Science and Technological Development, and Ministry of Labour, Employment, VeteranandSocial Affairs. The central institution responsible for coordination of the project is Public Policy Secretariat (PPS) with theassistance of Project Implementation Unit (PIU) established in PPS, as a technical coordination unit of the project. PPScoordinates the gathering and processing of the results of monitoring, reporting, fiduciary functions and safeguard procedures inclose cooperation with the institutions participating in the Project. Ministry of Economy is responsible for the achieving resultswithin Component A2. This Component supports implementation of the program for investment and exportpromotion. Objective of the Assignment The overall objective of the assignment is to create a knowledge foundation within theMinistry of Economy by conductingevidence-based and well-targeted sectorial analyses. This assignment aims to improve the targeting of employment generation,competitiveness enhancement and investment attraction in Serbia by improving the information base and tools on which suchinterventions rely. The information produced by this assignment willhave immediate application in the day-to-day interventions, butalso in longer-term policy design of Ministry of Economy and agencies that are operating under the competencies of the Ministry ofEconomy. Inorder to implement this Scope of Work and achieve set objectives, the Consultant will implement its activities in closeharmonization with other activities implemented by other consultants, all working simultaneously on developing the strategicframework for investment promotion and export development. The Consultant will particularly closely cooperate and coordinate itsactivities with activities of experts working on the issues related to export development (Specialist for Policies for IncreasingExport and Positioning at Foreign Markets) and investment increase (Specialistfor Policies on Attracting Foreign DirectInvestments). These two consultants have proposed the most promising manufacturing sectors with apotential to drive a sustainablegrowth and development of Serbia's economy through enhanced international competitiveness and exporting activities.
