The Project is a high priority for the city of Ivano-Frankivsk (“Ivano-Frankivsk” or the “City”) in terms of the development of municipal structured financing with an international financial institution. Recent increases in gas prices in Ukraine create strong demand for energy-saving investments. The implementation of the Project started in the Q2 2010 but it has been delayed, partly due to litigation over an important production site of the Company, A third party, the power distribution company JSC “Prykarapattiaoblenergo” (“Oblenergo”) claimed that the site was not owned by the City but rather by Oblenergo, questioning the Company’s operations at the site. Following a protracted litigation process between the City and Oblenergo, Oblenergo took ownership of the boiler house and established its own district heating operation, thus reducing the Company’s service area. This directly affected the Project as the SIDA grant was to finance investments in the area no longer serviced by the Company. While the implementation of the Project was effectively put on hold, the Company has continued to invest in the rehabilitation and upgrading of the City district heating system with its own resources. This investment included inter alia the installation of 3 new biofuel boilers with a total capacity of 2.7 MWh, the replacement of 10.2 km of obsolete main pipelines with new pre-insulated pipelines and the installation of metering. The Company has also been implementing a Corporate Development Programme prepared with support from a TC-funded international consultant, achieving some of the transition targets such as demonstration of successful restructuring (opex optimisation), shift to biomass, installation of demand side measures and metering. At the request of the City and the Company, the Bank extended the last availability date till 9 February 2013 to allow for additional time to resolve the ownership dispute, however no disbursement has been made to date as the Project Priority Investment Programme (“PIP”) had to be revised reflecting the change in geographical area that the Company now covers. Given this material change, the Project scope has been reconfigured in 2014 to focus on the Company’s remaining service area. Pursuant to the Bank’s requirements, the Company has set up a Project Implementation Unit (the “PIU”) and a Tender Evaluation Committee (the “Evaluation Committee”) staffed with local personnel. The PIU’s activity is aimed at co-ordination of all activities under the Project and cooperation between the representatives of the Company on the Project sites and the contractor as well as at improvement of the project management mechanisms. The original Project implementation and procurement support contract included all aspects of implementation, including preparation of the design, technical specifications, bidding documents, assistance in holding a tender, tender evaluation and contract finalisation, including administration of the contract implementation as well as setting up a disbursement system. Given the long delays with the Project and the change of Project area, it has been decided that all tasks related to design, technical specification, tendering, evaluation and contract award pertaining to the boiler houses located at Troleybusna, Medichna and Viyskovykh Veteraniv Streetsas well as individual heating sub-stations will be implemented under the original contract. Assignment Description: All remaining tasks related to (i) design, technical specification, tendering, evaluation and contract award pertaining to the other two boiler houses located at Doroshenka and Dovha St. and rehabilitation of pipelines as well as (ii) support of the Company in administration and supervision of all the contracts will be carried out under this assignment. The contracts below are expected to be procured as per the Procurement Plan. Supply and installation of a 4 MW biomass boiler at the Troleybusna boiler house; Modernization of 2 boiler houses located at Medichna St. and Viyskovykh Veteraniv St. with installation of new small-size gas fired boilers and 1 biomass boiler; Modernization of 2 boiler houses located at Doroshenka St. and Dovha St. with installation of medium sized gas fired boilers; Supply and installation of 148 individual heating sub-stations with heat-exchangers in the areas of Doroshenka, Troleybusna and Nadviryanska – Khokevicha districts; Rehabilitation of pipelines. The overall objective of the assignment is to facilitate the timely and effective implementation of the Project by: Preparation of tender documentation pertaining to two boiler houses located at Doroshenka and Dovha Street. and rehabilitation of pipelines in close cooperation with the PIU as well as assistance in subsequent tendering, evaluation and contract award related to these components. Providing Project management support to the Company and to the PIU in order to co-ordinate, administer, manage, monitor, and evaluate all the aspects of the Project with the main focus on financial and contract administration. Ensuring timely receipt of disbursements to pay under all the contracts contained in the updated procurement plan including assistance in opening and operation of letters of credit, if required; Ensuring that all reports required by the EBRD for the implementation of the Project and/or under the corresponding amended Loan and Grant Agreements are submitted on schedule; Preparing an integrated time schedule for progress meetings with various parties; attending meetings together with the PIU to support the Company’s overall programme, receiving responses and comments on reports, and discussing the Project related issues on a regular basis with the PIU and other key stakeholders; distributing minutes of meetings, including follow-up actions required to ensure the progress of the Project. Status of Selection Process: Interested firms or group of firms are hereby invited to submit expressions of interest. Assignment Start Date and Duration: The assignment is expected to start in Q3 2015 and has an estimated overall duration of 2 years. Maximum Cost estimate for the Assignment: EUR 285,000.00 (exclusive of VAT). The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed. Eligibility: there are no eligibility restrictions. Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms with previous project experience related to district heating projects, including without limitation experience in developing district heating projects, the financial and technical issues of the sector, investment and operating costs and practices, and the relevant regional and European Union environmental laws and standards. The Consultant should have project experience in the former CIS countries, preferably in Ukraine. I The Consultant’s expert team is expected to include the following key experts (with short-term support as required in other disciplines): Key Expert 1: Project Manager; Key Expert 2: Resident Project Manager(s)/District Heating Engineer; Key Expert 3: Procurement/ Contract Management Specialist (FIDIC Engineer); Key Expert 4:Finance/Disbursement Specialist; Key Expert 5: Designer(s); Key Expert 6: Engineer(s). Project Description:

Finance and Technology Transfer Centre for Climate Change (FINTECC) is the main technology transfer programme of the EBRD in the area of climate change mitigation and adaptation. It was created to facilitate technology deployment in countries where technology market penetration is currently low. The programme fulfils its objectives through a combination of policy dialogue, technical assistance and grant financing.

The EBRD launched its FINTECC Programme in Ukraine to support private and public stakeholders to adopt climate technologies, resulting in greater efficiencies, lowered costs and increased competitiveness of Ukrainian companies.

A FINTECC Ukraine Innovation Voucher will be a voucher provided to Ukrainian private companies to partially pay for an external expertise to facilitate innovations, development and improvement of climate technologies.

The EBRD intends to engage a consultancy firm or organization (the “Project Manager”) to run the Innovation Voucher Scheme (the “Scheme” or the “Assignment”). The Project Manager in coordination with EBRD will support the implementation of the Innovation Voucher, including marketing, processing applications, eligibility verification, assisting with terms of reference and contracts for the innovation services, developments and improvements provided to the Innovation voucher’s beneficiaries by external experts or organizations, verifying implementation of innovation those contracts, preparing justifications and Innovation Voucher disbursement requests, reporting to the EBRD.

The Project Manager is expected to perform the following tasks:

- Promote Innovation Voucher through targeted public awareness and marketing campaigns, including marketing materials and web-site;

- Ensure the criteria of the Scheme are clearly defined, consistently applied and updated;

- Ensure funding is applied consistently in line with the eligibility criteria and is supported by an appropriate level of validation to avoid misuse of funding;

- Establish partnerships with network organisations that could facilitate the links with potential beneficiaries in different sectors;

- Establish partnerships with network organisations that could facilitate the links with potential service providers in different sectors;

- Develop and identify a pipeline of voucher beneficiaries and list of eligible service providers;

- Provide eligibility checks of companies, innovation services and service providers based on the eligibility criteria;

- Process Innovation Voucher grant applications;

- Maintain and update a database of applicants, service providers, completed projects and fund utilization/availability, monitor scheme’s Key Performance Indicators;

- Report to the EBRD.

Status of Selection Process: Interested organization, firms or groups of firms are hereby invited to submit expressions of interest.

Assignment Start Date and Duration: The Assignment is expected to start in August 2016 and has an estimated overall duration of 24 months.

Cost Estimate for the Assignment: EUR 250,000; exclusive of VAT.

The consultant must determine whether any VAT would be chargeable on the services and the basis for that determination, without taking into consideration the Bank's special status as an IFI and state this to the Bank in their response to the Invitation for Expressions of Interest. To the extent that a consultant incurs input VAT on goods and services purhcased in connection with the provision of services (e.g. VAT on airline ticket) which is not otherwise recoverable by the consultant from the local tax authority, the gross cost to the consultant of such expenses shall be treated as a reimbursable expense.

Funding Source:
It is anticipated that the contract will be financed through EU Neighbourhood Investment Facility.

Eligibility: There are no eligibility restrictions.

Consultant Profile: Corporate Services are required.

The Consultant will be a firm or a group of firms preferably with previous project experience relating to project management and administration, including budgetary administration, of international programmes and projects related to innovations, knowledge sharing, public private partnerships. Local expertise and presence are required.

The Consultant’s team should at least consist of the following Key expertise:

  • Team leader with preferably 5 years of relevant expertise and experience in innovation project management or management consulting; science and technology, start-ups, industry innovation projects is preferred.
  • Senior expert with preferably 5 years of relevant expertise and experience in technical applications and manufacturing implications.
  • International expert with preferably 5 years of relevant expertise and experience in Research and Development and cooperating with international design committees, universities, testing laboratories, scientific engineering centres, etc.
  • Local experts with preferably 5 years of relevant expertise and experience in energy, energy and resource efficiency, climate technologies, marketing and communication.

Central Project Management Unit (CPMU) Consultancy Services - Head ofCPMU I.        BACKGROUND Ukraine hasreceived financing from the International Bank for Reconstruction andDevelopment (IBRD) in the amount US$ 350 million under IBRD related LoanAgreement No.8391-UA (US$ 300 million) and CTF related Loan Agreement?TF017112(US$ 50 million) toward the cost of Second Urban Infrastructure Project(hereinafter ? the Project). The Project includes three components: ?) UrbanInfrastructure Investment; ?) Institutional Strengthening and CapacityBuilding; ?) Project Management and seeks to assist Utility Companiesofselected cities to improve quality and reliability of the services whiledecreasing their costs through a series of institutional improvementsandselective investments in reconstruction and replacement of deteriorated watersupply and sanitation systems and solid waste management systems. The Project will beimplemented under general supervision of Ministry of Regional Development,Construction and Housing and Communal Services of Ukraine (hereinafter ?Minregion). Minregion created a Central Project Management Unit (hereinafter ?CPMU) for day-to-day management and coordination of the Project and provisionof assistance to Utility Companies participating in the Project in disbursementissues, financial management, reporting and other Project related activities.CPMU shall be responsible for general coordination of activities and reportingunder the Project. A new special purpose municipally-owned company called Municipal Enterprise Vinnytsia Card Service (“VCS”) was established on 12 December 2014 to implement the AFC system and then further expand it to other services in the City. The Project is called Vinnytsia Card at the City level. The system will include an AVL sub-system to track public transport vehicles and offer modern dispatch services for the City and transport operators. It is planned to have an AFC system where users are issued with contactless smart cards (“e-cards”) carrying information with stored value or purchased tickets and other products. It is planned that the e-card will be able to carry equivalents of money, various public transport tickets and be suitable for other dedicated applications including access to City services, parking or potentially bicycle rental. AVL system will be used for real time passenger information as well as for monitoring transport operators’ performance in order to adjust municipal payments in line with operators’ actually delivered services. It should improve service quality by facilitating greater focus on the reliability of services by transport operators, but also providing real time information to users on the expected arrival of vehicles at bus stops. The bulk of the public transport supply (circa 75 per cent) is provided by Vinnytsia Transport Company (“VTC”) formerly “Vinnytske Tramvaino – Trolleybusne Upravlinnya” (“TTU”), whose tram, trolleybus and bus fleet will be the basis to introduce AFC system. However the City intends to implement the new system on all public transport services, including private operators (i.e. 200 minibuses). Assignment Description: The overall objective of this assignment is to facilitate the timely and effective implementation of the Project’s procurement processes by rendering assistance to the Company in implementation of the Project, including review of technical and legal due diligence reports and preliminary system design, formalisation of technical and functional specification of the system and its components, it’s business rules, preparation of tender documentation, all aspects of procurement, contract administration and disbursement (the “Assignment”). The contracting entity will be the City. The selected Consultant is expected to provide the following services: advise the Company with respect to all aspects which, in the Consultant’s professional judgment, may jeopardise the Project’s successful implementation and/or constitute violation of the contract conditions. If requested, the Consultant will be obliged to help the Company to provide the Bank with data, advice and information in relation to the contracts which shall be impartial and take due regard of industry best practices; provide assistance in the procurement of the contracts in a detailed manner in accordance with the procedures, specifications and documentation of the Bank and pursuant to all other agreements stipulated in the Loan Agreement signed between the Company and EBRD. Status of Selection Process: Interested firms or group of firms are hereby invited to submit expressions of interest. Assignment Start Date and Duration: The Assignment is expected to start in November 2015 and has an estimated overall duration of 30 months. Cost Estimate for the Assignment: EUR 284,500 (exclusive of VAT). The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed. Support for Ukraine's National Reform Council (NRC)

Background and objectives Currently Ukraine faces substantial institutional and structural challenges. To consolidate and coordinate the country’s reform efforts, a National Reform Council (NRC) was established by a Presidential decree in August 2014. To support the activities of the NRC, a Reform Executive Council and a Project Management Office (PMO) were established as part of the reform infrastructure. The main function of the PMO is to coordinate the Reform Task Forces which are set up to design and implement reforms in different spheres, and monitor and report on the process of reform implementation. The PMO is operationally and legally independent from the government and President’s administration, and will report to the Co-Chairs of the Reforms Executive Committee. The PMO will be staffed with regular and short-term experts, including the Head of PMO, project managers, administrative assistants, communications and IT personnel. PMO project managers are expected to co-lead the Reform Task Forces, together with other nominees by the REC. In this context, PMO needs to have a skillset allowing it to deal with conceptual, analytical, negotiations and project management matters. The role of the PMO is to: coordinate and facilitate the work of the Reform Task Forces; monitor and control timely execution of implementation plans, which include adoption of laws, drafting and adoption of other normative documents, change processes, engagement of staff and training, etc; publicly communicate the progress of the implementation in similar manner as communication of the development of reforms plans. Once the laws are passed, the PMO will ensure that all laws and legal provisions are adopted and used in all relevant public bodies on national, regional and local levels. The PMO will continue to monitor the process and communicate progress to the public which it is hoped will create the necessary pressure for timely and appropriate implementation. The work of the PMO will entail liaison with: Project managers and other consultants working within the PMO Co-heads of Reform Task Forces, relevant ministers, representatives of relevant parliamentary committees, representatives of donors, international organizations, civil society and business, external consultants and experts. The European Bank for Reconstruction and Development (EBRD) is assisting with the financing of the staff of the PMO and is now assisting with the selection and engagement of a Head of PMO (the “Consultant”) who will be required to carry out the following scope of services: Coordinate and facilitate efforts on initiating and development of reforms, monitor and control implementation of reforms in different spheres according to priorities defined by the Reforms Executive Committee; Ensure transparency of the reforms development and implementation processes; Maintain regular communication with to the Co-Chairs of the Reforms Executive Committee to ensure that reports and analyses are prepared and are of appropriate quality; Oversee work progress in Reform Task Forces ensuring that delivery of the activities are within the agreed timescale and budget; Raise issues and red flags within reform development and implementation processes to Reforms Executive Committee ; Support the set-up, development, management, budget and control activities of the PMO; Define, develop and implement project management practices, governance standards, business processes and performance metrics; Build and manage a team: - Oversee the work of the project managers - Effectively manage the PMO team including project managers, other consultants, external consultants and short-term experts - Develop and implement a performance assessment system for the staff of the PMO Provide weekly reporting to the Co-Chairs of the Reform Executive Committee, and twice-yearly reports to the EBRD. The successful candidate will be expected to ensure effective communication and partnership with national and international counterparts, donors and civil society, ensure high quality information and visibility of the PMO activities to the mass media and stakeholders, align various the various stakeholders within the reform development and implementation activities. It is envisaged that although initially the Head of the PMO will be engaged by the EBRD as a consultant, once the PMO is fully established, the Head will become engaged by the PMO directly. Assignment Start Date and Duration: The Assignment is expected to start in February 2015 and last for 12 months with the possibility of an extension to the contract for a further 12 months, depending on availability of funding, satisfactory performance and business needa. Cost Estimate for the Assignment: to be negotiated with the successful consultant. The consultant must determine whether any VAT would be chargeable on the services and the basis for that determination, without taking into consideration the Bank’s special status as an IFI and state this to the Bank in their response to Notification of Assignment. To the extent that a consultant incurs input VAT on goods and services purchased in connection with the provision of services (e.g VAT on airline ticket) which is not otherwise recoverable by the consultant from the local tax authority, the gross cost to the consultant of such expenses shall be treated as a reimbursable expense. Funding Source: EBRD's Ukraine Multi-Donor Account Eligibility: There are no eligibility restrictions Consultant Profile: Individual services are sought. Firms may propose candidates but the evaluation will be based on the individual and not the firm.
