Assignment Description: The covered bond is at the heart of the financial tradition of Continental Europe, playing a central role in funding strategies for the last two centuries. However, following the 2008 financial crisis and the discredit such crisis shed over mortgage/asset backed securities, the strategic importance of covered bonds as a long-term funding tool has been recognised at the global level. Covered bonds are playing an important role in the capital markets, contributing to the efficient allocation of capital and, ultimately, economic development and recovery. As a consequence, many European countries have introduced new covered bond legislation or have updated or are in the process of updating the existing rules. Croatian regulators, namely the Ministry of Finance, Croatian National Bank and the Croatian Financial Services Supervisory Agency are eager to work on the diversification of access to finance of the local banking institutions and revival of the local capital markets and on these lines will undertake a legal reform project aimed at introducing covered bonds legislation in Croatia. The purpose of introducing the new law is to encourage the diversification of funding of local banks and to support further development of capital markets by enabling issuance of covered bonds through creating a stable, certain and predictable specific legal framework. The Bank now intends to engage the services of a Croatian law firm (the "Local Legal Consultant" or "Consultant") to work in conjunction with an international covered bonds expert (the "International Consultant") to support the work of the MoF in developing a covered bonds legal and regulatory framework (the "Assignment"). The main objective of the Assignment is to reform the covered bond sector policy in Croatia by introducing a law which will allow issuing covered bonds in accordance with the best international practices. The selected Local Legal Consultant is expected to provide the following services: - Prepare, draft, revise and present together with the International Consultant a legal concept paper containing proposed solutions, underlying reasons and examples that will serve as the basis for the development of the Croatian covered bond legal and regulatory framework (the Concept Paper). - Contribute to the Ministry of Finance’s work by presenting the Concept Paper, discussing solutions, answering all questions that may be raised and providing additional comparative information which may be required; - Make himself/herself available for meetings in Zagreb or in the region when requested and actively participate and propose improvements / modifications of the draft legal texts necessary to accomplish desirable effects as proposed in the Concept Paper; - Draft the Covered Bond Law in accordance with the ideas developed in the Concept Paper and the potential instructions / suggestions of the Ministry of Finance, Croatian National Bank and the working group; - Draft in co-operation with the proposed regulatory body the relevant secondary legislation / regulation to implement and complement the new legal provisions; - Participate in capacity building and training events that might be organised in Croatia. Status of Selection Process: Interested firms or groups of firms are hereby invited to submit expressions of interest. Assignment Start Date and Duration: The Assignment is expected to start in the beginning of May 2015 and has an estimated overall duration of 24 months. Cost Estimate for the Assignment: EUR 153,000.00 (exclusive of VAT). Subject to availability of funding, the performance of the selected Consultant and the specific needs of the Bank the Assignment may be extended beyond the current scope. The Consultant must determine whether any VAT would be chargeable on the services and the basis for that determination, without taking into consideration the special status of the Bank as an IFI and state this to the Bank in their response to the Invitation for Expressions of Interest. To the extent that a Consultant incurs input VAT on goods and services purchased in connection with the provision of services (e.g. VAT on airline ticket) which is not otherwise recoverable by the consultant from the local tax authority, the gross cost to the consultant of such expenses shall be treated as a reimbursable expense. Funding Source: The assignment will be funded through the EBRD's Shareholder Special Fund. Eligibility: There are no eligibility restrictions, however, the nature of the assignment requires a Croatian law firm. Consultant Profile: Corporate services are required. The Local Legal Consultant will be a Croatian law firm or a group of firms with previous project experience related to: 1. Advising on Croatian banking and financial regulation; 2. Policy dialogue (legislative) work with Croatian authorities (drafting and/or advising on laws and regulations in financial law sector); 3. Advising on Croatian capital markets (public offerings and private placements of various types of securities); The Local Legal Consultant's expert team is expected to include key experts as follows: a. Local Consultant – Partner (to act as Team Leader), Croatian lawyer with extensive professional experience (preferably 20 years) in financial law matters and policy. Experience in public administration is an advantage. b. Local Consultant – Senior Associate, Croatian lawyer with preferably 10 years' experience in financial law matters. c. Local Consultant – Junior Associate with relevant experience in financial law matters. Improving Governance of SOEs in Croatia - Setting up a unified reporting and monitoring framework of SOEs

Project Description:
In Croatia, state-owned enterprises (SOEs) play an important role in the domestic economy. According to European Commission estimates employment in state-owned enterprises represents 12 per cent of overall employment, while they represent 18 per cent of the total turnover and 30 per cent of total assets in Croatia. The state is heavily present in public utilities and transportation, where the share of employees working for the SOEs in 2012-2013 reached 79 per cent and 45 per cent respectively. Other sectors with significant state presence include information and communication (14 per cent), construction (8 per cent) and manufacturing (6 per cent).

In this context, the Croatian authorities, in particular the State Property management Administration (DUUDI), recently transformed into the Ministry for State Assets (the Ministry), have requested the European Bank for Reconstruction and Development (the EBRD or the Bank) to provide technical assistance to improve the governance of SOEs in line with the 2015 and 2016 Council Recommendations to Croatia, including, inter alia, “advancing the divestment process of state assets and reinforcing the monitoring of state-owned enterprises performance and boards’ accountability, including by advancing the listing of shares of state-owned companies” (the Project).

The state portfolio of SOEs was until recently administered by the State Property Manage-ment Administration (DUUDI), and upon its transformation into the Ministry, the Ministry which will assume all the responsibilities of DUUDI, including management, together with the line ministries, of companies of strategic and special interest. In particular, 43 companies classified as being either of ‘special interest’ or of ‘strategic interest’ are in the domain of DUUDI/the Ministry. All other companies (in total 470 of which 35 are in majority ownership of central government) remain in the domain of the Restructuring and Sale Center (CERP).

Assignment Description
The Bank now intends to engage a consultant (the Consultant) to support the Ministry and CERP in improving the governance of SOEs through the development of a unified reporting and monitoring framework of SOEs (the Assignment).

The expected outcome of the Assignment is the development and adoption of a set a guidelines and recommendations by the Croatian authorities and SOEs supporting the strengthening of public administration, corporate governance and business planning for SOEs in Croatia, and enhanced stakeholder capacity in applying new methodologies and practices.

The selected Consultant is expected to provide the following services:
1. Recommendations on improving internal processes
a. Review current legal, regulatory and internal frameworks governing status, processes and functions of Ministry/DUUDI and relations with key stakeholders
b. Development recommendations on improving the Ministry’s internal processes, including monitoring, control and communication.
c. Organise and deliver workshops for selected SOEs, Ministry and CERP staff on improving internal processes based on recommendations.

2. Guidelines on setting corporate targets and guidelines for budget and financial reports compilation and reporting
a. Develop a methodology for setting corporate targets including the clear identification of roles for all stakeholders in the process as a part of medium-term business planning.;
b. Develop a methodology for evaluation of targets including financial and operating benchmarks to similar companies in the private sector or comparable SOEs in other countries;
c. Organise and deliver workshops for selected SOEs, Ministry and CERP staff on setting corporate targets.

3. Guidelines for preparation and evaluation of SOEs’ medium term business plans
a. Develop a manual for preparation of SOEs’ medium terms business plans,
providing a framework including financial model information, KPIs and references to
different methodologies;
b. Develop a methodology and guidelines for Ministry for the evaluation of business
plans;
c. Organise and deliver workshops for selected SOEs, Ministry and CERP staff on
the supervision of SOEs’ strategies and business plans and transferring knowledge on
applying the proposed methodologies and guidelines.

Status of Selection Process: Interested firms or groups of firms are hereby invited to
submit proposals to the Bank.

Assignment Start Date and Duration: The Assignment is expected to start in the second half of February - March 2017 and has an estimated overall duration of 8 months.

Cost Estimate for the Assignment: EUR 175,000 (exclusive of VAT). Subject to availability of funding, the performance of the selected Consultant and the specific needs of the Bank the Assignment may be extended beyond the current scope.

The Consultant must determine whether any VAT would be chargeable on the services and the basis for that determination, without taking into consideration the special status of the Bank as an IFI and state this to the Bank in their response to the Invitation for Expressions of Interest. To the extent that a Consultant incurs input VAT on goods and services purchased in connection with the provision of services (e.g. VAT on airline ticket) which is not otherwise recoverable by the consultant from the local tax authority, the gross cost to the consultant of such expenses shall be treated as a reimbursable expense.

Funding Source: It is anticipated that the Assignment will be funded by the European Union. Please note selection and contracting will be subject to the availability of funding.

Eligibility: There are no eligibility restrictions.

Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms preferably with previous project experience related to:
1. finance and reporting processes improvements including preparation of related guidelines, procedures or standard operating procedures;
2. preparation and delivery of workshops relating to business planning and performance, preferably for SOEs; and
3. legal, regulatory and institutional frameworks governing SOEs in Croatia.

The Consultant’s expert team is expected to include key experts as follows:
Key Expert No 1 - Team Leader/Project Manager with preferably 10 years of previous professional experience in delivering projects related to financial and reporting process improvement, corporate governance and business planning and performance, preferably with SOEs and preferably in Croatia;
Key Expert No 2 – Financial Expert with preferably 10 year of previous professional experience in financial management or advisory of SOEs or other public enterprises, preferably in Croatia.
Key Expert 3 - Legal and regulatory expert with preferably 10 years of previous professional experience in advising SOEs and in participation in similar projects that included restructuring of SOEs or similar public enterprises, preferably in Croatia.

The team is expected to include additional experts to the above and the entire team should be composed with a view to performing all of the tasks of the Assignment in the most efficient manner.

All experts should be fluent in Croatian and English language, otherwise the Consultant should provide its own interpretation and translation resources.

1. Assess the feasibility of a SME Growth Market in a local and regional context. The aim of this activity is to assess the feasibility of establishing a SME growth market in Croatia and Slovenia either as a local stand-alone solution or preferably as an extended regional offering. A SME growth market is defined here as a SME specialised financing platform/market segment owned and operated by an exchange. The proposed SME Growth Market may have a tiered structure offering various forms of access to capital market financing.
2. Define the optimal set-up of a local/regional SME financing platform. Based on the assessment conducted in activity 1, the Consultant will design the recommended local/regional SME financing platform and define how the Client can become a company financing hub serving companies at various stages of their financing cycle (i.e. multi-tier structure).
3. Prepare a detailed business and implementation plan. In collaboration with the Client the Consultant will prepare a business and implementation plan for presentation to the Client's Management Board and Supervisory Board. Under this activity the Consultant will organise a stakeholder workshop for key capital market participants presenting the proposed SME Growth Market concept.

Vodoopskrba i odvodnja d.o.o., Zagreb (“ViO” or the “Company”) is a water supply and wastewater service company, 100 per cent owned by Zagreb Holding. ViO is the largest water and waste water operator in Croatia which services up to 850,000 inhabitants of Zagreb and several surrounding cities and municipalities. The Company currently provides water supply services using 3,000 km long supply network with the annual water supply of 57.5 million m3, whereby wastewater collection services are provided through 2,000 km of public sewage network and 52,000 drain canals and with annual quantity of wastewater collected of 54.04 million m3. The Company employs more than 1,100 people.

Zagreb Holding (“Zagreb Holding” or “ZGH”) is a holding company fully owned by the City, which through a network of 16 subsidiaries, 7 companies and one institution provides the citizens with the following services (i) water-supply and wastewater collection, (ii) public transport, (iii) parking services, (iv) waste collection, (v) pharmacy chain management, and (vi) management of public sport facilities. Zagreb Holding currently employs around 11,000 workers and is the largest municipal holding in Croatia.

The European Bank for Reconstruction and Development (the “EBRD” or the “Bank”) has recently re-financed its existing loan from Zagreb Holding to the Company such that they can be utilized for capital expenditures into construction and upgrade of the waste-water network in the City.

In order to assist the Company in the re-organization of their financial and operational activities, the Company is seeking the support of a consultant (the “Consultant”) to ensure they are more efficient in areas including business planning, advice on tariff reform and collection improvements. The Consultant will also support the preparation of a Public Service Agreement (“PSA”) between the Company, Zagreb Holding and the City.

Assignment Description:

The overall objective of the assignment is to improve the Company’s operational efficiency and financial and operational management in order to strengthen its capacity to service debt while providing high quality water and sewerage services.

  1. establishing indicators for measurable improvements (within a clearly defined timetable) to improve operational efficiency and levels of service (e.g. reducing unaccounted for water and sewage leakages);

Project Description:

The Government of Croatia has developed a policy based on regionalisation as the primary means to achieve compliance with EU water and wastewater directives. Through regionalisation, the Government plans to improve the quality and efficiency of its water and wastewater infrastructure and services in order to fulfill the country’s environmental targets, reaching out to areas outside major cities. Through the creation of larger regional operators, Croatia plans to ensure the long term sustainability of these investments and create a greater EU grant absorption capacity.

Currently there are approximately 125 local water companies in Croatia. It is envisaged that through the regionalisation programme, undertaken during the next 2-3 years, approximately 20-25 Regional Operating Companies (“ROCs”) will be formed through the consolidation of smaller operators into larger ROCs. Typically the regionalisation will occur along county lines and will be lead by the largest water operator (the “Lead Company”) in the region, which will then absorb the smaller companies into its operations.

The current assignment is designed to build on previous EBRD work in the water sector in Croatia (. The focus of the assignment is to assess the potential of regional consolidation in the water supply/wastewater services sector through the preparation of a feasibility study for specific regionalisation programmes where the Bank is co-financing, together with EU funds, the priority water and waste water infrastructure upgrade. In particular, the assignment will include concrete merger plans, covering all legal, financial and operational aspects.

The assignment will at first focus on two regionalisation programmes with different beneficiaries. It is envisaged that following the preparation and implementation of the initial programmes, the assignment may be extended if and when additional programmes are identified and agreed with the Croatian National Authorities.

The risks are high as many of the smaller water operators are currently not managed on a commercial basis and are loss making operations. They are characterised by high levels of non revenue water due to leakages in the network, weak collection systems and insufficient maintenance. If the regionalisation is to work, it is essential that these smaller operations be effectively integrated into the ROCs with their service levels raised.

As a result, EBRD proposes to assist simultaneously two Lead Companies of the future ROCswith the support towards the re-organisation of their financial and operational activities through a Financial and Operational Performance Improvement Programme (“FOPIP”) to ensure they are more efficient. The FOPIP will in particular include business planning, Public service Contract (“PSC”) preparation, advisory on tariff reforms and collection.

The overall objective of this assignment is to (i) evaluate the feasibility of and define concrete implementation models for the regional consolidation of water and wastewater companies in Croatia and (ii) assist the Companies in their transition through performance support to ensure the highest level of operating efficiency.

It is envisaged that the selected consultant (the “Consultant”) will work on two different regionalisation programmes. These programmes will be assigned to the Consultant at the time when the specific sub-projects are signed under the Framework. The Consultant will be assigned and work with the Bank, as well as with its borrowers.

Specific objectives within each of the sub-project assignments aim at:

(a) Specifying the existing business relationship of the assigned Lead Companies with the neighbouring companies in the sector;

(b) Evaluating the current financial and operating performance of the Lead Companies and its neighbouring companies (merger/acquisition targets);

(c) Evaluating the regional consolidation potential and advantages within the water/wastewater services sector and feasibility of the consolidation;

(d) Developing concrete merger/acquisition implementation models of the existing water/wastewater services companies in the County proposing new transparent;

(e) Operational, financial and management capacity building at the proposed ROC level;

(f) Evaluating efficiency improvements, including business planning, investment programming, accounting and cost management, financial long term planning etc.;

(g) Assisting the Lead Companies in the preparation of the Public Service Contract/s within its new regionalised service area; and

(h) Advising on tariff reforms and collection improvements.

The Consultant must determine whether any VAT would be chargeable on the services and the basis for that determination, without taking into consideration the special status of the Bank as an IFI and state this to the Bank in their response to the Invitation for Expressions of Interest. To the extent that a Consultant incurs input VAT on goods and services purchased in connection with the provision of services (e.g. VAT on airline ticket) which is not otherwise recoverable by the consultant from the local tax authority, the gross cost to the consultant of such expenses shall be treated as a reimbursable expense.

Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms with international experience in water and wastewater sector projects procured under financing arrangements with government agencies or international financial institutions, as well as respectable track record in mergers/acquisitions. The Consultant should be well acquainted with Croatian laws and regulations. The consultant should also have experience in drafting and implementing Public Service Contracts in countries with legal framework comparable to Croatia.

The Consultant should form a team that will be able to advise and work with the Bank on up to 2 different regionalisation programmes in parallel.

The Consultant’s expert team should include key experts as follows:

- Project Manager with preferably 15 years of professional experience in the financial and operational requirements of the regionalisation process and/or merger and/or acquisition process.

- Water and Wastewater Operations Expert with preferably 10 years of professional experience in utility operations in the sector.

- Financial Expert( with preferably 10 years of professional experience in financial management of public utilities and project finance

- Legal Expert with preferably 10 years of professional experience in legal frameworks comparable to Croatia

- Merger/Acquisition Expert with preferably 10 years of professional experience in mergers/acquisitions and proposing revised shareholding structures and corporate governance principles.

Project Description:
The City of Sisak is the economic and political centre of the Sisak – Moslavina county in continental Croatia, with a population of around 47,000 people. It is located 60 kilometres south east from the country’s capital Zagreb. Sisacki vodovod (“SV”, or the “Company”) is a limited liability company, providing water supply and wastewater collection and treatment services to the inhabitants of the City of Sisak and neighbouring municipalities of Martinska Ves, Sunja and Lekenik. The City of Sisak owns 96.57 per cent of the Company, with Municipality of Martinska Ves owning 2.05 per cent, Municipality of Lekenik owning 0.90 per cent and Municipality of Sunja owning 0.48 per cent. During 2014 the Company generated EUR 4.2 million of revenues and EUR 0.2 million of EBITDA.

The Company provides annually 2.7 million m3 of water to households and industrial consumers and collects 1.7 million m3 of wastewater in the current sewage network. Approximately 10,600 households (or 57.7 per cent of the total) are currently connected to the wastewater collection network. The total water supply network length amounts to 486 kilometres, while the wastewater collection network is approximately 160 kilometres long. The Company has 113 employees.

At the moment the Company is implementing a substantial investment programme which includes the extension of the wastewater collection network, and the construction of the wastewater treatment plant. Roughly 50 per cent of the mentioned project is already implemented and is co-financed by EU IPA grant and existing EBRD loan, whose repayment is partially co-financed by the Croatian Water Agency and the Ministry of Agriculture.

As part of the restructuring of the existing financing provided by the European Bank for Reconstruction and Development (“EBRD” or the “Bank”), the Company approached the Bank with a request to provide an additional EUR 2 million loan, which will be utilised for the financing of priority investments in the upgrade of the existing water supply network, through the replacement of pipes in some areas which are in excess of 60 years old (the “Project”). The Project is expected to significantly reduce non-revenue water (currently amounting to almost 50%), resulting in a positive impact on the Company’s operating performance.

Assignment Description:
While the Company has an established Project Implementation Unit (the “PIU”) which is responsible for the  preparation and implementation of the Project related activities, due to the magnitude and complexity of the investment programme, the Company intends to engage a specialized Project implementation consultant (the “Consultant”) to support the PIU in the preparation, design, procurement and management of the implementation of the investment programme and related activities throughout the duration of the Project (the “Assignment”). The activities and performance of the Consultant will be coordinated, supervised and monitored by the PIU.

The overall objective of this Assignment is to assist the PIU to implement the Project on schedule and within budget. The Assignment will include the following tasks:

  1. Review of the existing data and preparation of the concept, engineering and detailed design (for conventional civil works contracts) as well as technical specifications for the Project;
  2. Preparation of tender documentation and implementation of the contracts procurement as per appropriate FIDIC Contract Conditions, EBRD Procurement Policies and Rules (the “PP&R”) and EBRD 2008 Environmental and Social Policy and Performance Requirements;
  3. Supervision of the selected contractor to carry out the rehabilitation of the water supply network in an effective and timely manner in accordance with the Design and Build Contract;
  4. Providing timely recommendations and reporting to the Company on the contract administration process; and
  5. Assist the Company to provide the EBRD data, advice and information in relation to the contract administration and supervision for the Project.

Status of Selection Process: Interested firms or group of firms are hereby invited to submit expressions of interest.

Assignment Start Date and Duration: The Assignment is expected to start in February 2016 and has an estimated overall duration of 24 months.

Cost Estimate for the Assignment: EUR 250,000 (exclusive of VAT). Subject to availability of funding, the performance of the selected Consultant and the specific needs of the Client the Assignment may be extended beyond the current scope.

The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed.

Funding Source: The contract will be financed through the EBRD-ICEX Technical Cooperation Fund (Spain).

Eligibility: The consultancy firms must be registered in Spain. The experts must be of Spanish nationality. However, up to a maximum of 30% of the total funds may be used to finance Croatian experts or firms registered in Croatia.

  • Water sector expert
  • IFI Procurement and Contract Specialist;
  • Engineer for local certification support (local);
  • Local experts.

The key experts proposed shall have preferably a minimum of 5 years’ experience of the activity for which they are proposed including:

  • Project management experience gained in projects similar in scope, nature and complexity;
  • Experience in preparation of full tender documents, knowledge EBRD Supply contractual arrangements and two stage tendering, or equivalent methods;
  • Experience in (i) planning and design activities; project management; (iii) engineering; and (iv) procurement of goods, and services and contract administration;
  • Proven knowledge of procedures and rules of procurement of EBRD, or other MDBs, such as World Bank, ADB;
  • Kknowledge of requirements of Croatian legislation concerning issues relevant to this procurement would be an advantage;
