Belarus: Bank Moscow - Minsk MSME Lending Capacity Building

Project Description: Bank Moscow-Minsk (the "Client" or "BMM") is a medium-sized bank, carrying out conventional banking operations such as lending, mainly to large corporate clients and Micro, Small and Medium Enterprises ("MSME") (ca. 92% of GLP), foreign exchange, customer deposit taking, interbank and customer funds clearance. All of its loans have been issued at market terms, including those legacy exposures to state-owned companies (46.6% of the GLP), which were issued at a time when the bank was controlled by its previous owner Bank of Moscow. BMM has requested the European Bank for Reconstruction and Development ("EBRD" or the "Bank") to provide technical assistance for improving the efficiency of its MSME lending operations and expand access to finance for private MSMEs that are underserved in Belarus.

Assignment Description: The Bank now intends to engage a consultant (the "Consultant") to assist the Client expand its capacities in MSME lending to effectively and efficiently provide (multi-purpose) MSME loans to enterprises across the country on a sustainable basis (the "Assignment").
The expected outcome of the Assignment is the enhanced MSME Lending, Risk Management and Credit Scoring capacities at BMM.
To achieve this, the Assignment will focus on the following key tasks:
1. MSME Lending Strategy: Provide recommendations and assist with implementation of measures for expanding MSME lending. Review BMM’s MSME strategy, current MSME product range; assist BMM with new product development reflecting the bank’s strategy and market needs;

2. MSME Lending Operations and Risk Management: Support the lending process and propose risk management function improvements in the areas of corporate credit analysis as well as developing internal risk rating;

3. Credit Scoring: Assess feasibility, provide recommendations and assist BMM in improving its MSME credit scoring (scoring for Micro Enterprises is already implemented), as deemed appropriate.

4. Knowledge transfer and skills development in these areas will strengthen internal capacity and enable the client to continue to grow its MSME lending in a sustainable and profitable manner, in line with best international practices.

Status of Selection Process: Interested firms or groups of firms are hereby invited to submit expressions of interest.

Assignment Duration: The Assignment is expected to start in Q 2 2017 and has an estimated overall duration of approximately 18 months.

Cost Estimate for the Assignment: EUR 275,000 (exclusive of VAT).

The Consultant must determine whether any VAT would be chargeable on the services and the basis for that determination, without taking into consideration the special status of the Bank as an IFI and state this to the Bank in their response to the Invitation for Expressions of Interest. To the extent that a Consultant incurs input VAT on goods and services purchased in connection with the provision of services (e.g. VAT on airline ticket) which is not otherwise recoverable by the consultant from the local tax authority, the gross cost to the consultant of such expenses shall be treated as a reimbursable expense.

Funding Source: It is anticipated that the contract will be financed by the EBRD's donor funded Technical Cooperation Funds Programme, however consultant selection and contracting will be subject to availability of funding from an appropriate donor.

Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms preferably with previous project experience related to:

1. assisting commercial banks or similar financial institutions with the development of MSME lending including the strengthening sub-loan underwriting, product range, portfolio monitoring and management, marketing and sales, internal controls, and risk management;

2. building internal capacity in Banks or similar financial institutions on MSME lending and the implementation of train-the-trainer programmes.
It is expected that the Consultant's team will include the following key expert(s):
Key Expert 1: Project Manager/Team Leader (Senior MSME Lending Expert)
• Professional experience and relevant qualifications (ideally more than 10 years) in MSME lending and demonstrable knowledge of Belarusian banking and MSME finance sector;
• Preferably 10 years of expertise in the development of MSME lending and risk assessment methodologies and establishment of relevant business processes;
• Preferably 10 years of experience in managing similar assignments in the Commonwealth of Independent States (CIS) region and/or other countries in the EBRD's countries of operation (EBRD CoO);
• Professional experience in conducting training on the entire transaction cycle for MSME lending with excellent communication, training, and presentation skills;
• Fluency in Russian and English is essential.
Key Expert 2: MSME Lending and Risk Management Expert
• Preferably 5 years of previous professional experience in credit risk assessment of MSMEs;
• Preferably 5 years of experience in the underwriting procedures of MSME lending, including pricing, loan structuring and monitoring;
• Preferably 5 years of experience in MSME lending in commercial banks in the CIS region and/or other countries in the EBRD CoO;
• Professional experience in conducting training on the entire transaction cycle for MSME lending with excellent communication, training, and presentation skills;
• Fluency in Russian and English is essential.
Key Expert 3: MSME Advisor – Training Expert
• Preferably 5 years of experience in specialist training in financial analysis, project valuation, liquidity, market risks modelling and stress-testing;
• Preferably 5 years of experience in hiring and training of staff;
• Professional experience in conducting training on the entire transaction cycle for MSME lending with excellent communication, training, and presentation skills;
• Fluency in Russian and English is essential.

3. Interviews:
All firms with a combined score of 70% or more of the total marks available for criteria 2(a) – 2(c) inclusive will be invited to interview (criterion 2(d)).
EBRD will advise the Consultants regarding the format (e.g. skype call, meeting in person, conference call, etc.) and date of the interviews at the time of the invitation. The interviews shall be attended by all 3 Key Experts nominated by the Consultant.
Please note that all and any costs incurred by the Consultant in connection with attendance to interviews shall be borne by the Consultant.

Project Description:

The Unitary Enterprise Orshavodokanal (the “Company”) supported by the Government of Belarus (the “Government”) and the local administration (the “Rayispolkom”) approached the European Bank for Reconstruction and Development (the “EBRD”, or the “Bank”) with a request to finance the priority investments in reconstruction and modernisation of the existing wastewater treatment facilities (the “PIP” or the ”Project”) to ensure compliance with the national and EU standards for effluent quality treatment. This Project is part of a wider framework which mainly aims at reducing pollution of the Baltic Sea basin, and to some extent also to the Black Sea basin.

The Project objective is to rehabilitate the existing wastewater treatment plant to achieve full compliance of the water and wastewater services with the national and EU standards.

Assignment Description:

The Client now intends to retain a consulting company (the Consultant) to provide assistance for institutional building in the form of a Corporate Development Programme and a Social Support Programme as detailed below (the Assignment).

The Assignment consists of two main Parts:

Part I: Corporate Development Programme for the Company

The Consultant shall assist the Company to improve its commercial standing, service and environmental performance by supporting the identification and implementation and, where necessary, the establishment of the corporate, financial, operational and environmental management required to become financially and operationally sustainable, and also to meet the related covenants included in the EBRD financing documents. The Consultant’s main task is to assist the Company to develop a short-medium term focused corporate development plan and to improve the corporate planning capacity to assist ongoing transition towards becoming a self-sustaining entity with commercially sustainable and gender-sensitive operations, as well as implementing the Environmental and Social Action Plan (ESAP) developed for the Company.

Part II: Social Support Programme

The second objective is to assess the existing social support mechanism for the gender-sensitive customer groups and the low income customers and assess how the Company makes use of it in terms of knowledge of its vulnerable customer base and its financial support needs. Following this assessment the Consultant will recommend improvements and actions for improved implementation by the Company. Belarus has a welfare system with subsidies to vulnerable groups, including subsidised utility services, which will bridge the affordability gap. The State and Rayispolkom have not provided direct subsidies to the low income families instead subsidies are provided to the Company to keep the tariff level low. In addition, cross-subsidisation between commercial and residential clients exists. Detailed mechanism needs to be developed and agreed between the Rayispolkom and the Company and reflected in the Public Service Agreement to be signed between the Rayispolkom and the Company. It is noted that this may be somewhat limited by the fact that the tariffs for the residential clients are set on the country level. The Bank will be in parallel working with the Government of Belarus on the tariff related benchmarks. The counterparts of Part II are the Company,the Rayispolkom and potentially Oblispolkom.

Cost Estimate for the Assignment: EUR 300,000 (exclusive of VAT). The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed.

Funding Source: It is anticipated that the contract will be financed by the Government of Sweden through the Sida-EBRD Municipal Environment and Climate Programme Fund.

Consultant Profile: Corporate services are required. The Consultant should ensure that the appropriately qualified experts are available, as required, for each of the different tasks outlined above. It is expected that the assignment will be led by an appropriately qualified project manager with experience in the water and wastewater sectors and in implementing the key areas of this assignment, accompanied by both key and supporting experts. It is expected that short-time input from key international experts be combined with local/regional expert input. The local/regional experts would secure presence in the field as well as continuity.

The team should include the following key experts:

  • Project Manager / Technical Expert;
  • Local project manager / Technical Expert;
  • Finance Expert;
  • Local Finance Expert;
  • Environmental Expert;
  • Social Expert with gender expertise;
  • Pool of local experts.

The Consultant is required to provide the Company with independent, impartial technical, cost, strategic, management and financial advice, and as such will not be permitted to have a commercial interest in any other contracts or agreements for the Project.

Project Description:

Assignment Description:

The investments will be procured in accordance with the EBRD Procurement Policies and Rules for Public Sector Projects. A Project Implementation Unit (“PIU”) has been formed in the Company to manage all procurement, as well as installation, construction and implementation of the investments.

To support the Company and the PIU in all aspects of Project implementation, including preparation of design, technical specifications, tender documentation, assistance with tendering, tender evaluation and contract finalisation, administration and supervision of the contract implementation including the implementation of the Environmental and Social Action Plan (“ESAP”), as well as set up of the disbursement system, the Company intends to engage a reputable consultancy firm or consortium of consultancy firms (hereinafter the “Consultant”).

The overall objective of this assignment is to facilitate the timely and effective implementation of the Project by rendering assistance to the Company in the implementation of the Project, including design, all aspects of procurement and disbursement, and environmental and social (“E&S”) requirements.

The Consultant shall perform the following main tasks:

  1. Overall project management support as required;
  2. Design the works and prepare technical specifications for goods;
  3. Support during the state approval process;
  4. Arrangement of preparation of the prequalification, if any, and tender documents for procurement of works and goods;
  5. Arrangement of the tendering procedure for works and goods, including evaluation of tenders and drafting tender evaluation reports;
  6. Administration of contract implementation including, where appropriate, works supervision or assisting  with works supervision;
  7. Arrangement of timely disbursements under the contracts; and
  8. Assistance with the implementation of the Environmental and Social Action Plan.

Funding Source: It is anticipated that the contract will be financed by the Government of Sweden through the Sida-EBRD Municipal Environment and Climate Programme Fund.

Consultant Profile: The Consultant shall be responsible for mobilisation of qualified engineers, technicians and other professional staff with proven experience in administrative management, procurement, design and supervision of similar construction works and acquiring of equipment for water and wastewater rehabilitation projects in comparable climatic and geological conditions.

It is anticipated that the Consultant’s team shall include the following Key Experts with short-term support as required in other disciplines:

  • Project Manager;
  • IFI Procurement and Contracts Specialist;
  • Water and Wastewater Engineers (Design);
  • Finance/Disbursement Specialist;
  • Engineers (Construction Supervision);
  • Environmental and social specialist.

All experts shall have approximately 5 years of experience of the activity, which they are proposed for in a similar position including:

  • have design and project management experience gained in countries with climatic conditions similar to the project sites;
  • have construction and supply experience gained in countries with climatic conditions similar to the project sites;
  • have experience in design of water supply and wastewater projects;
  • have knowledge and practical experience of FIDIC and/or World Bank/EBRD Supply and Installation and Works contractual arrangements;
  • have experience in (i) planning and design activities; (ii) assistance with planning and design activities; (iii) project management; (iv) project management assistance; (v) engineering; (vi) procurement of goods, works and services;
  • have a good knowledge of procedures and rules of procurement of international financial institutions, such as the World Bank, ADB or EBRD;
  • have a good knowledge and understanding of EBRD’s environmental and social requirements and past experience of assistance in their successful implementation; 
  • have a good knowledge of requirements of Belarusian legislation concerning construction, financial, accounting and disbursement issues;
  • the Russian language skills within the team for communication with the Client are necessary.

It is expected that the Consultant will engage a sufficient number of local engineers to support the international consultants in engineering supervision under multiple construction/works contracts in the participating cities.

Project Description:

The Unitary Enterprise Lida GUP JKH (the “Company”) supported by the Government of Belarus (the “Government”) and the local administration (the “Rayispolkom”) approached the European Bank for Reconstruction and Development (the “EBRD”, or the “Bank”) with a request to finance the priority investments aimed at reconstruction and modernisation of the wastewater treatment facilities (the “PIP” or the ”Project”) to ensure compliance with the national and EU standards and HELCOM recommendations for effluent quality treatment. The Company’s operations include water supply and wastewater treatment, district heating and other socially important services in the city of Lida. The water supply and wastewater treatment services constitute around 20-25 per cent of the Company’s revenues.

The artesian water does not comply with sanitary norms of Belarus for iron and therefore requires iron removal. The sewage networks consist of 150 km pipes depreciated by about 62 per cent with 27 km of sewage networks requiring an immediate replacement. The wastewater treatment plant is operating close to its design capacity of 44,000 m3/day. The wastewater treatment plant was built in 1971 and consists of two separate biological activated sludge trains preceded by two mechanical screens and four sand removal tanks. In 2002 a second bio-sorption train without mechanical sedimentation was commissioned in operation.

The Project objective is to rehabilitate the existing wastewater treatment plant to achieve full compliance of the wastewater services with the national and EU standards and HELCOM recommendations.

Assignment Description:

The Client now intends to retain a consulting company (the Consultant) to provide assistance for institutional building in the form of a Corporate Development Programme and a Social Support Programme as detailed later in this text (the Assignment).

The assignment consists of two main Parts:

Part I: Corporate Development Programme for the Company

The Consultant shall assist the Company to improve its commercial standing, service and environmental performance by supporting the identification and implementation, and where necessary, the establishment of the corporate, financial, operational and environmental management required to become financially and operationally sustainable and also meet the related covenants included in the EBRD financing documents. The Consultant’s main task is to assist the Company to develop a short-medium term focused corporate development plan and to improve the corporate planning capacity to assist ongoing transition towards becoming a self-sustaining entity with commercially sustainable operations, as well as implementing the Environmental and Social Action Plan (ESAP) developed for the Company.

Part II: Social Support Programme

The second objective is to assess the existing social support mechanism for the low income customers and assess how the Company makes use of it in terms of knowledge of its vulnerable customer base and its financial support needs. Following this assessment the Consultant will recommend improvements and actions for improved implementation by the Company. Belarus has a welfare system with subsidies to vulnerable groups, including subsidised utility services, which will bridge the affordability gap. The State and Rayispolkom have not provided direct subsidies to the low income families, instead subsidies are provided to the Company to keep the tariff level low. In addition, cross-subsidisation between commercial and residential clients exists. Detailed mechanism needs to be developed and agreed between the Rayispolkom and the Company and reflected in the Public Service Agreement to be signed between the Rayispolkom and the Company. It is noted that this may be somewhat limited by the fact that the tariffs for the residential clients are set at the country level. The Bank will be in parallel working with the Government of Belarus on the tariff related benchmarks. The counterparts of Part II are the Company, the Rayispolkom and potentially Oblispolkom.

Assignment Start Date and Duration: The Assignment is expected to start in Q2 2017 and has an estimated overall duration of three years.

Cost Estimate for the Assignment: EUR 300,000 (exclusive of VAT). The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed.

Funding Source: It is anticipated that the contract will be financed by the EBRD’s Shareholder Special Fund.

Eligibility: There are no eligibility restrictions.

Consultant Profile: The Consultant will be a firm or a group of firm that will ensure that the appropriately qualified experts are available, as required, for each of the different tasks outlined above. It is expected that the assignment will be led by an appropriately qualified project manager with experience in the water and wastewater sectors and in implementing the key areas of this assignment, accompanied by both key and supporting experts. It is expected that short time input by key international experts be combined with local/regional expert input. The local/regional experts would secure presence in the field and continuity. The team should include the following key experts:

  • Project Manager/Technical expert;
  • Local project Manager/Technical expert;
  • Finance expert;
  • Local finance expert;
  • Environmental expert;
  • Social expert;
  • Pool of local experts.

The Consultant’s team should have the Russian language skills necessary for communication and interactions with the Client.

The Consultant is required to provide the Company with independent, impartial technical, cost, strategic, management and financial advice, and as such will not be permitted to have a commercial interest in any other contracts or agreements for the Project.

3. CVs of key experts who could carry out the Assignment detailing qualifications, experience in similar assignments, particularly assignments undertaken in the previous five years, including information on contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, main activities, objectives.

  2. Firm’s previous experience in working with IFIs (20%)

3. Interested firms may apply and be selected for both Corporate Development Programme and Project Implementation Unit Support assignments, however would be expected to provide different teams of experts.

Project Description:

The Unitary Enterprise Lida GUP JKH (the “Company”) supported by the Government of Belarus (the “Government”) and the local administration (the “Rayispolkom”) approached the European Bank for Reconstruction and Development (the “EBRD”, or the “Bank”) with a request to finance the priority investments aimed at reconstruction and modernisation of the wastewater treatment facilities (the “PIP” or the ”Project”) to ensure compliance with the national and EU standards and HELCOM recommendations for effluent quality treatment. The Company’s operations include water supply and wastewater treatment, district heating and other socially important services in the city of Lida. The water supply and wastewater treatment services constitute around 20-25 per cent of the Company’s revenues.

The artesian water does not comply with sanitary norms of Belarus for iron and therefore requires iron removal. The sewage networks consist of 150 km pipes depreciated by about 62 per cent with 27 km of sewage networks requiring an immediate replacement. The wastewater treatment plant is operating close to its design capacity of 44,000 m3/day. The wastewater treatment plant was built in 1971 and consists of two separate biological activated sludge trains preceded by two mechanical screens and four sand removal tanks. In 2002 a second bio-sorption train without mechanical sedimentation was commissioned in operation.

The Project objective is to rehabilitate the existing wastewater treatment plant to achieve full compliance of the wastewater services with the national and EU standards and HELCOM recommendations.

Assignment Description:

The investments will be procured in accordance with the EBRD Procurement Policies and Rules for Public Sector Projects. A Project Implementation Unit (“PIU”) will be formed in the Company which will manage all procurement, as well as installation, construction and implementation of the investments.

To support the Company and the PIU in all aspects of Project implementation, including preparation of design, technical specifications, tender documentation, assistance with tendering, tender evaluation and contract finalisation, administration and supervision of the contract implementation including the implementation of the Environmental and Social Action Plan (“ESAP”), as well as set up of the disbursement system, the Company intends to hire a reputable consultancy firm or consortium of consultancy firms (hereinafter the “Consultant”).

The overall objective of this assignment is to facilitate the timely and effective implementation of the Project by rendering assistance to the Company in the implementation of the Project, including design, all aspects of procurement and disbursement, and environmental and social (“E&S”) requirements.

The Consultant shall perform the following main tasks:

  1. Overall project management support as required;
  2. Design the works and prepare technical specifications for goods;
  3. Support during the state approval process;
  4. Arrangement of preparation of the prequalification, if any, and tender documents for procurement of works and goods;
  5. Arrangement of the tendering procedure for works and goods in line with the approved designs including evaluation of tenders and drafting tender evaluation reports;
  6. Administration of contract implementation including, where appropriate, works supervision or assisting  with works supervision;
  7. Arrangement of timely disbursements under the contracts; and,
  8. Assistance with the implementation of the Environmental and Social Action Plan.

Consultant Profile: The Consultant shall be responsible for mobilisation of qualified engineers, technicians and other professional staff with proven experience in administrative management, procurement, design and supervision of similar construction works and acquiring of equipment for water and wastewater rehabilitation projects in comparable climatic and geological conditions.

It is anticipated that the Consultant’s team shall include the following Key Experts with short-term support as required in other disciplines:

  • Project Manager;
  • IFI Procurement and Contracts Specialist;
  • Water and Wastewater Engineers (Design);
  • Finance/Disbursement Specialist;
  • Engineers (Construction Supervision);
  • Environmental and social specialist.

All experts shall have approximately 5 years’ experience of the activity, which they are proposed for in a similar position including:

  • have design and project management experience gained in countries with climatic conditions similar to the project sites;
  • have construction and supply experience gained in countries with climatic conditions similar to the project sites;
  • have an extensive experience in design of water supply and wastewater projects;
  • have knowledge and practical experience of FIDIC and/or World Bank/EBRD Supply and Installation and Works contractual arrangements;
  • have experience in (i) planning and design activities; (ii) assistance with planning and design activities; (iii) project management; (iv) project management assistance; (v) engineering; (vi) procurement of goods, works and services;
  • have a good knowledge of procedures and rules of procurement of international financial institutions, such as the World Bank, ADB or EBRD;
  • have a good knowledge and understanding of EBRD’s environmental and social requirements and past experience of assistance in their successful implementation; 
  • have a good knowledge of requirements of Belarusian legislation concerning construction, financial, accounting and disbursement issues within the project implementation context;
  • the Russian language skills for communication with the Client are necessary.

It is expected that the Consultant will engage a sufficient number of local engineers to support the international consultants in engineering supervision under multiple construction/works contracts in the participating cities.
