North Tajik Water Rehabilitation Project

This Invitation for Tenders follows the General Procurement Notice for this project which was published in EBRD Procurement Opportunities, 27 May 2016 procurement reference 8300-GPN-40717.

SUE Khojagii Manziliyu Kommunali (“KMK”) hereinafter referred to as the Employer, intends using part of the proceeds of a loan from the European Bank for Reconstruction and Development (“the Bank”), part of the proceeds of a grant from the Swiss State Secretariat for Economic Affairs (“SECO”) and part of the proceeds of a grant from the Special Climate Change Fund (“SCCF”) towards the cost of the North Tajik Water Rehabilitation Project (“NTWRP”).

The Employer now invites sealed tenders from Contractors for the following contract to be funded from part of the proceeds of the loan and the grants:

NTWRP-6.1: Rehabilitation of Well Pumping Stations Chorky and Surkh in Isfara. Reconstruction of Chlorination Facilities:

  • cleaning of 17 existing wells
  • rehabilitation of existing buildings of the chlorination units
  • rehabilitation of the piping system at the water intakes, including the replacement of pipelines connecting the wells with the water supply system and with the chlorination unit

The implementation shall start in Q1 of 2017 and shall be completed within 8 months after signing the Contract including winter break.

Tendering for contracts to be financed with the proceeds of the Bank’s loan, SECO’s and SCCF’s grant is open to firms, joint ventures and consortiums from any country.

To be qualified for the award of the contract, Tenderers must satisfy the following minimum criteria:

  1. average annual turnover as lead contractor (defined as billing for works in progress and completed) over the last 3 years of USD 400'000.-;
  2. the Tenderer has satisfactorily executed at least (3) three projects of a nature and complexity comparable to the proposed contract within the last (5) five years, each with a value of at least USD 300’000.-, including at least (2) two projects on borehole cleaning using equipment capable to drill and clean comparable boreholes.
  3. The Tenderer shall demonstrate that he has access to, or has available, liquid assets, unencumbered real assets, lines of credit, and other financial means sufficient to meet the supply, installation and construction cash flow for the contract for a period of 3 months, estimated as not less than USD 100'000.- equivalent, taking into account the applicant's commitments for other contracts.

Assignment Description:
The European Bank for reconstruction and Development (“EBRD” or the “Bank”) has established an agreement with Waste Management Enterprise “Khojagii Manziliy Kommunali” (“KMK”
or the “Company”)  which foresees the provision of funds in the total amount of USD 4 million which consists of a loan of USD 2 million from the Bank and a capital expenditure grant of USD 2 million from an international donor to finance a priority investment program (“PIP”) which shall improve the quality of solid waste management services in the City Kurgan Tyube (the “City” or “Kurgan-Tyube”) and the surrounding areas
(the “Project”).

The City, located 96 km south of Dushanbe, has a population of 75,400, making it the fourth largest city in Tajikistan. The City is surrounded by settlements in the direct neighbourhood which will be most probably included in the City Area in the near
future.

KMK is currently responsible for solid waste disposal, street cleaning and watering of the main roads during summertime. The service area is the current City area. Currently the activities of KMK are financed through tariffs by customers and remuneration from the City for road cleaning services. Solid waste is currently being disposed to a landfill outside of the City which was established in 1978 (the “Sarband landfill”).

The solid waste management services are being organized at a rather low standard due to the notorious lack of budget funds which result in a lack of equipment, almost no maintenance and repair of trucks for waste collection and disposal and no qualified staff for operation.

Based on this Baseline Situation a Long-term Waste Management Strategy has been elaborated for the City which has been the base for the definition of priority measures.

The proposed EBRD transaction will focus on financing priority capital investments to improve solid waste collection in Kurgan-Tyube., as well as to upgrade and modernise the Sarband landfill. The investment will result in the improved service at waste collection and disposal levels, partial introduction of waste recycling and significant improvement of the environmental situation in the City.

In parallel with the equipment investments, the Project will contribute to the development and institutional strengthening of the Company and the City in respect of procurement, corporatisation, creditworthiness enhancement and the improvement of the environmental situation in the City. This activity will focus on operational and financial support to secure the sustainability of the Company’s operations; implementing a Stakeholders Participation Programme (“SPP”) in Kurgan-Tyube; and developing and introducing a Public Service Contract (“PSC”)
between the Company and the City (based on the drafts as elaborated in the Feasibility Study).

The Company and the City require a firm or group of experts (the “Consultant”) to assist the Company and the City to implement the Assignment which consist of two main parts:

Part I: Corporate Development Programme for the Company

The Consultant shall assist the Company to improve its commercial standing, service and environmental and social performance by helping to identify, and implement the necessary corporate, financial and operational improvements required to meet the related covenants included in the EBRD finance documents. This will be achieved via the development and implementation of a Financial and Operational Performance Improvement Plan (“FOPIP”). The Consultant shall also assist the Company to develop a medium-term focused corporate development plan, to improve its corporate planning capacity to assist its ongoing transition towards a self-sustaining entity, and to develop its commercial operations.

Part II: Stakeholders Participation and City Support
Programme for the City of Kurgan-Tyube

The Consultant shall assist the City with implementing the PSA, which will be a key component of the financial structure for the proposed projects. A related objective of the City Support Programme is to raise institutional capacity within Kurgan-Tyube to assist the City in managing the Project in an effective manner
as well as to raise financial planning capacity and thereby improve its creditworthiness. One important component will be the establishment of efficient monitoring structures which enable the City to monitor / control the performance of the KMK.

Additionally, the Consultant shall assist the City in the analysis of the baseline social situation of the vulnerable section of the population and the impact of the Project on these groups, and in connection to this assess any impact of the Project on the equality between men and women.

Status of Selection Process: Interested firms or group of firms are hereby invited to submit expressions of interest.

Assignment Start Date and Duration: The Assignment is
expected to start in Q4 2015 and has an estimated overall duration of 36 months.

Maximum Budget available for the Assignment: Maximum
budget available for the assignment: EUR 330,000 (exclusive of VAT). The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services
directly to the Consultant unless otherwise agreed.

Eligibility: There are no eligibility restrictions.

Consultant Profile: Corporate services are required. The
Consultant will be a firm or a group of firms with substantial project
experience in solid waste management.

The Consultant should ensure that the appropriately qualified experts are available, as required, for each of the different tasks outlined above.

It is expected that the assignment will be led by an appropriately qualified project manager with experience in the solid waste sector and in implementing the key areas of this assignment, accompanied by both key and supporting experts.

Thus, it is expected that the consultant’s team will
include at least:

  • Team Leader/ Solid Waste Management Operations Expert with practical international experience in providing Consultancy support services in Operation Management of Communal Enterprises preferably Waste Management Enterprises
  • International Solid Waste Management Institutional and Regulatory Expert with practical experience in Institutional and Regulatory Consultancy to Communal Enterprises preferably Waste Management Enterprises and knowledge of the specific needs and requirements for regulation in waste management sector
  • International Financial Specialist with practical experience in Financial Consultancy to Communal Enterprises preferably Waste Management Enterprises
  • International Legal Expert
  • Environmental and Social Experts with past experience of IFI projects
  •  Local Legal Expert with practical knowledge of the waste relevant legislation in Tajikistan

One essential component of the project is to provide support and advice to the City and the Company over a time of 3 years which means that the Consultant shall fulfil the role of a “Professional Coach” which is ready to monitor the progress carefully and also to react flexible on all developments and mainly to be always prepared to react on questions and problems of the City and the Company which may arise during project implementation. At least the Team Leader or the Institutional Expert shall have practical and proven experience of  preferably 10 years in fulfilling this
position and will be the main counterpart for the City and the Enterprise. In his work he shall be supported by the other experts, which will assist in elaboration of deliverables and monitoring activities.

Project Description:
Yavan (the "City") has approached the European Bank for Reconstruction and Developments (the "EBRD" or the "Bank") with a request to provide financing for the rehabilitation of its solid waste operations (the "Project"). The City would like to create a new municipally-owned enterprise responsible for street cleaning and solid waste services only. This new enterprise (the "Company") will be the borrower of record.

The City has a population of 32,000, is located 59 km southeast of Dushanbe and is considered one of the developing industrial centres in Tajikistan.

The Bank is considering a transaction consisting of a loan of USD 2 million from the Bank and a capital expenditure grant of USD 2 million from an international donor, to finance a priority investment programme in solid waste operations in the City.

Assignment Description:
The Bank is seeking to hire a consultant (the "Consultant") to prepare a Feasibility Study to identify a technically and economically feasible (i.e. bankable) priority investment programme for solid waste operations in the City (the "Assignment").

The Consultant will be required to perform the following tasks:
• Task 1: Baseline study of the solid waste sector;

A key element of the success for this assignment will be partnering/collaborating with the local consultants/experts, subject to the eligibility restrictions referred to above.

The quality of solid waste management services in the City of Nurek are low due to lack of funding for large capital expenditures required to restore fully functional solid waste management services. As a result, solid waste management companies operate with old equipment, incur high cost of maintenance. The lack of properly-equipped collection points and modern equipment, leads to inefficient operations manifesting itself in unreliable collections and disposal of waste. The Project is aiming to improve the City’s waste collection and waste disposal systems through investments in (i) acquisition of new collection equipment and expansion of collection point networks; (ii) construction of a new landfill; and (iii) improving the Company’s operation facilities. The Client now intends to retain a consulting company (the “Consultant”) to receive support to all aspects of the project implementation, including preparation of design, technical specifications, tender documentation, assistance with tendering, tender evaluation and contract finalisation, administration and supervision of the contract implementation (the “Assignment”). The overall objective of the Assignment is to facilitate the timely and effective implementation of the Project by rendering assistance to the Company and the City, as the ultimate asset owner, in the implementation of the Project, including design, all aspects of procurement, disbursement and contract administration. The Consultant is expected to perform the following main tasks: Overall project management support; Design and preparation of technical specifications; Procurement; Disbursement; Technical supervision. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed. Funding Source: It is anticipated that the contract will be financed by Early Transition Countries Funds (ETCF). Selection and contracting is subject to the availability of funding. Eligibility: There are no eligibility restrictions. Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms with preferably previous project experience related to: implementing corporate development assignments, preferably on the municipality level and solid waste management related. Relevant project experience in the region would be considered an advantage. implementing stakeholder participation programmes, preferably in the region. The Consultant is required to provide the beneficiaries with independent, impartial technical, cost, strategic, management, financial and advice, and as such will not be permitted to have a commercial interest in any other contracts or agreements for the Project. The Consultant should ensure that the appropriately qualified experts are available, as required, for each of the different tasks outlined above. It is expected that the assignment will be led by an appropriately qualified project manager with experience in the solid waste sector and in implementing the key areas of this assignment, accompanied by both key and supporting experts. The Consultant’s expert team is expected to include key experts as follows: Project Manager/ Solid Waste and Landfill Management Operations Expert preferably with over 10 years of practical international experience in providing Consultancy support services in the area. International Solid Waste Management Institutional and Regulatory Expert preferably with over 10 years of practical experience in Institutional and Regulatory Consultancy to Communal Enterprises preferably Waste Management Enterprises and knowledge of the specific needs and requirements for regulation in waste management sector. International Financial Specialist with practical experience in Financial Consultancy to Communal Enterprises preferably Waste Management Enterprises. International Legal Expert. Environmental and social experts with past experience working on projects financed by International Financial Institutions (IFIs) or similar. Local Legal Expert with practical knowledge of the waste relevant legislation in Tajikistan. Local Accounting Expert with practical experience in working with Communal Enterprises and City Administrations. Local Training Expert Stakeholder Participation Expert The Consultant must set out clear communication lines with the beneficiaries, so that they are able to draw on the support of the Consultant as required. It is envisaged that this will be best supplied through a combination of long-term and short-term expertise. Submission Requirements: In order to determine the capability and experience of Consultants seeking to be shortlisted, the information submitted should include the following: 1. Company/group of firms’ profile, organisation and staffing (max. 2-4 pages). 2. Details of previous project experience or similar assignments particularly undertaken in the previous five years, including information on contract value, contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided (if different from duration), main activities, objectives. 3. CVs of key experts who could carry out the Assignment detailing qualifications, experience in similar assignments, particularly assignments undertaken in the previous five years, including information on contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, main activities, objectives. 4. Completed Consultant Declaration Form and Contact Sheet, the template for which is available from the following web-link: http://www.ebrd.com/pages/workingwithus/procurement/notices/csu/contact_sheet.doc. The expression of interest shall not exceed 25 pages (excluding CVs and contact sheet). One original and 1 copy of the expression of interest, in English and 1 original and 3 copies in Russian, should be submitted to the Client in an envelope marked: Expression of Interest for "Nurek Solid Waste Sub Project - Corporate Development, Social Support and Stakeholder Participation Programme", to reach the Client no later than 21/08/2015 at 4 pm (Nurek time). One further electronic copy should be submitted by email to the EBRD's contact person by the same due date and time. Important Notes: 1. Following this invitation for expressions of interest, a shortlist of qualified firms will be formally invited to submit proposals. Consultant selection and contracting will be subject to availability of funding. 2. The shortlist criteria are as follows: Firm’s experience in implementing corporate development assignments on the municipality level and solid waste management related, preferably in the region. – 35% Firm’s experience in implementing stakeholder participation programmes, preferably in the region. – 25% CVs of key experts with relevant experience as per above - 40%. 3. Please note that the Client is currently in the process of selecting a Consultant for the assignment: Nurek Solid Waste Sub Project – Project Implementation Support, Engineering Design Services and Contracts Supervision (TCS 45935). The Consultant selected for that assignment is not eligible to be awarded the contract for the CDP assignment (TCS 45934) which is subject to this procurement notice.
