S4C is uniquely funded through a mixture of grant in aid, commercial revenue and licence fee contribution from the BBC. In addition the BBC supplies ten hours a week of programming funded from the licence fee. The Service being tendered will require the supplier to provide the following to support programme producers that provide programmes to S4C within a legal context: • advice in relation to all legislation, policies (including S4C policies), relevant codes of practice (including practical application of the Ofcom Code) and operational guidelines relevant to the production of audio-visual content including, without limitation, matters in relation to health and safety, data protection, copyright, the Working Time Directive, pensions legislation, bribery legislation, contracting and protecting children and vulnerable people and programme/legal compliance issues including ensuring effective dissemination of regular updates on new or changing legislation, codes or guidance. • comprehensive and accurate information and advice regarding the full range of contractual arrangements between production companies on the one hand and rights holders/contributors to content on the other and guidance on how practically to ensure clearance of all appropriate rights and all appropriate consents for S4C programmes in accordance with S4C licence agreements including advice on competition rules, data protection contracts and clauses which ensure the appropriate consents for the processing of data; • a bespoke and standard contract service (including an up to date precedent bank) across production companies’ production and engagement activity which reflect S4C’s contractual and other requirements including contributor contracts (with appropriate consent and data protection clauses), location agreements, photographer agreements, cast and crew agreements, writers agreements, musicians agreements and competition terms and conditions; • promotion of good industrial relations in the sector and the maintenance of relationships with the unions (currently WGGB, Equity, BECTU, MU and DUK) and collection societies (e.g. MCPS, PRS, ALCS or others) that represent contributors to content or third party rights holders; represent the independent sector and S4C’s requirements during discussions on engagement and licensing arrangements (including rights and fees frameworks) with unions and collection societies both on standard terms and bespoke terms, where appropriate, to take into account new rights requirements and/or rights for special projects; • advice in relation to contractual, employment and business affairs matters; • an information, advice and support service in relation to agreements with unions and collection societies and in relation to the precedent bank referred to above; • an active advisory and resolution service in relation to any contractual disputes between the production companies and those they engage whether by agreement, conciliation, mediation or arbitration, acknowledging the individual’s right to have representation; • promotion of good practice across all production, contractual and employment activity; • provide guidance and encouragement to the independent production sector to incorporate diversity and equal opportunities across all aspects of en

Introduction and Background S4C is the Welsh television channel and one of the UK's five public service television broadcasters. S4C is conducting a tender process to appoint a provider of cleaning services for a period of three years with an option to extend the contract for a further 12 months. The services being tendered comprise the internal cleaning of the S4C premises in Cardiff which includes offices, broadcast transmission areas, kitchen and canteen areas. Applicants must therefore be able to provide cleaning services of the highest standard, be reliable and be able to accommodate shift patterns in the provision of the services. In addition, the cleaning will need to be carried out in the vicinity of valuable and sensitive equipment and, although there is no requirement to clean the specialist equipment, the Applicants will need to have an appreciation and understanding of the sensitive cleaning environment and be able to follow express cleaning instructions issued by S4C. The premises in Cardiff are split into 3 sections, the administrative section, the technical block and the catering areas which are spread over two floors. The overall square footage of the building is 29,538 ft2 split between the Ground Floor which is 15,393 ft2 and the First Floor which is 14,145 ft2. The cleaning services are required to be undertaken between 18.00hrs and 08.00hrs. Administrative Section The administrative section accommodates the working area and offices of the administrative staff, directors and the chief executive. The working hours of the administrative section are 08.30hrs – 17.45hrs, Monday – Friday. This area consists mainly of open plan office space with a small number of offices and meeting/discussion rooms, which are used throughout the working hours. Linc intends to establish a Dynamic Purchasing System (DPS) to procure a range of reactive maintenance works and services across its portfolio of properties in South Wales. Reactive maintenance works and services are those which comprise day to day emergency repairs together with short term items to rectify immediate problems. These are for ad hoc works that are outside of our existing repairs contracts that we have in place. The anticipated period of the DPS will run from the date of signing of the earliest DPS Agreement (likely to be 30 January 2017), for 2 years with an option to extend for a further 2 years. The nature of the works means that it is not possible to provide any accurate estimate of spend over the life of the DPS. 1. Introduction 1.1 The S4C Authority is responsible for the provision and regulatory compliance of S4C’s services (subject to the regulatory powers vested in Ofcom by the Communications Act 2003). The statutory provisions relating to S4C are set out in the Broadcasting Acts 1990 and 1996 and the Communications Act 2003. S4C operates under Sections 203 to 207 (inclusive) and Schedule 12 to the Communications Act 2003. Section 204 provides that the Authority shall have the function of providing television programme services of high quality with a view to their being available for reception wholly or mainly by members of the public in Wales. 1.2 S4C is a Statutory Corporation which receives funding from the Department for Culture, Media and Sport (DCMS), from its commercial revenue and, since 2013/14 from the Licence Fee through the BBC Trust. This is in accordance with the Framework Agreement of September 2011 between the Secretary of State for Culture, Media and Sport and the BBC Trust and the Operating Agreement between the BBC Trust and the S4C Authority of January 2013. S4C is accountable to the BBC Trust for the use of the licence fee money that comes via the Trust. 1.3 To enable the Secretary of State for Culture, Media and Sport to implement the changes to the funding of S4C, the S4C Authority’s previous funding formula was amended in December 2011 by Section 31 of the Public Bodies Act 2011. Under this amended provision the Secretary of State for Culture, Media and Sport now has a statutory duty to secure that “in 2012 and each subsequent year the S4C Authority is paid an amount which s/he considers sufficient to cover the cost to the Authority during that year of (a) providing the Authority’s public Services; and (b) arranging for the broadcasting or Distribution of those services”. 1.4 S4C has established a limited number of wholly owned subsidiary companies that generate commercial revenue from a range of commercial activities. 1.5 S4C’s finances are divided between the Public Service Fund, (which includes the income received from DCMS and the BBC Trust) and the General Fund (which does not include the income received by DCMS and the BBC Trust but encompasses income from the commercial activities). The audit functions which are the subject of this tender extend across both funds. 1.6 S4C also receives at least 10 hours on average of Welsh programming each week from the BBC for free. 1.7 Since October 2010, following the Comprehensive Spending Review, S4C has seen a significant reduction in its funding. In order to achieve some of the necessary savings the organisation undertook a major restructuring process. 1.8 The BBC’s current Royal Charter runs until 31 December 2016. Due to the way that S4C is now funded the renewal of the BBC’s Charter will have an impact on S4C during the course of this contract. 1.9 S4C has announced its intention to relocate its Headquarters to Carmarthen by January 2018 and to co-locate some staff with BBC Cymru/Wales at a new building to be built in the centre of Cardiff. 2. The Skills for the Digital Economy programme develops and delivers flexible, industry-led training to meet the needs of creative media employers and freelancers working or living in west Wales, north west Wales the Valleys. The programme is backed with £2.6m from the European Social Fund (ESF) through the Welsh Government, with the rest of the funds provided by Welsh broadcaster S4C, the trade association for independent producers in film and television in Wales, Teledwyr Annibynnol Cymru (TAC) and Creative Skillset Cymru. The Skills for the Digital Economy is a four and a half year programme which started in 2011 and will run through to June 2015 with the prime objective of supporting the creative economy in Wales which was identified by the Welsh Government as a priority sector for business support. The Skills for the Digital Economy programme is made up of two main stages: 1. Research Creative Skillset Cymru conducts research on the skills needs for the creative media workforce in the convergence region, which has informed the development and delivery of training provision. 2. Training Based on the skills priorities identified in the research, training is tendered out for training providers to deliver. The Skills for the Digital Economy team work with training providers to run full and part time courses as well as short courses. These courses are mainly aimed at industry professionals looking to upskill or make a career change, as well as new entrants to the industry. The training schemes continuously adapt and develop according to industry needs. All our training courses are guided by the Skills for the Digital Economy Industry Steering Group. A further key aim of the programme is to address the diversity and environmental sustainability issues the sector may currently face in the convergence region. This can include increasing gender equality, helping companies ‘green' their productions, or adopting green ICT. We now wish to commission a final report to provide a robust quantitative economic impact evaluation of the Skills for the Digital Economy programme to assess its effectiveness and performance including: achievement of gross outputs and expenditure against its approved targets; adjustment from gross to net outputs after accounting for deadweight effects, as appropriate; assessment of the contribution of outputs to attributable outcomes including any unintended outcomes/effects; assessment of additionality and an assessment of the wider impacts on west Wales, north west Wales and the Valley's economy or more broadly if significant. More specifically to assess whether or not the programme has achieved its objectives and what has and has not worked well, for whom and under what circumstances. To assess the original rationale for the project and whether this rationale is/is not still valid (including how it fits in with ESF priorities and those of other local, regional and national strategies). Assessment of Strategic Added Value (SAV) - broadly, the added value realised through coordinating and influencing activities that result in project outcomes being delivered by other, in addition to outcomes directly delivered through funded activities. A value for money assessment will also be required to demonstrate the cost effectiveness in terms of input/output cost ratios and a cost-benefit analysis to monetise the social and economic return from investment. Comprehensive estate regeneration schemes, based on needs and priorities identified through consultation for individual areas. The works primarily involve the adaptation of domestic properties as a result of the approval of a Disabled Facilities Grant or any Discretionary Grant awarded to the applicant. To support this area ILS operate a "Grant Agency Service" that provides a professional, technical and administrative service to the clients (service users). Put simply, the Council provides a service whereby the service users can appoint the Council to administer the grant on the service users' behalf whilst working closely with health professional such as the Community Occupational Therapy Service to ensure that the service users' needs are fully met.
